AND ZAMBIA UNION OF FINANCIAL INSTITUTION AND ALLIED WORKERS WORKERS\nUNION (ZUFIAW) - 2000\u003C\u002Fh1>\n\n\u003Cp>************\u003C\u002Fp>\n\n\u003Cp>MEMORANDUM OF RECOGNITION AGREEMENT BETWEEN FIRST ALLIANCE BANK (Z) LIMITED\n(hereinafter referred to as “Bank”) AND ZAMBIA UNION OF FINANCIAL\nINSTITUTIONS AND ALLIED WORKERS (hereinafter referred to as “The Union”)\u003C\u002Fp>\n\n\u003Cp>PREAMBLE\u003C\u002Fp>\n\n\u003Cp>The Bank and the Union, desiring to make the greatest possible contribution\nto the success and prosperity of the Bank , employees and the nation as a\nwhole, hereby agree to subscribe to principles that the Bank operates at\nmaximum efficiency, thereby contain as much as possible the operational costs.\nTherefore, the parties agree to accept practices which promote individual and\ncollective efficiency.\u003C\u002Fp>\n\n\u003Ch2>1. RECOGNITION\u003C\u002Fh2>\n\n\u003Cp>The Bank agrees to recognise the Union as representative and bargaining\nagent for all eligible employees of the Bank for so long as the Union remains\nregistered in accordance with the Laws of Zambia in force from time to time\naffecting labour laws, and for so long as both parties continue to observe the\nterms of this Agreement.\u003C\u002Fp>\n\n\u003Ch2>2. SCOPE OF THE AGREEMENT\u003C\u002Fh2>\n\n\u003Cp>Eligible employees shall be those who are on permanent establishment of the\nBank with exception of the following:-\u003C\u002Fp>\n\n\u003Cp>- an employee empowered to make management decisions (Officers and\nabove);\u003C\u002Fp>\n\n\u003Cp>- an employee entrusted with Personnel Management and Industrial Relations\nfunctions, or\u003C\u002Fp>\n\n\u003Cp>- an employee reporting directly to the Chief Executive,\u003C\u002Fp>\n\n\u003Cp>In terms of this Clause, it is understood that matters negotiated between\nthe parties to this Agreement shall be confined to bona fide members of the\nUnion, Full-time trainees who are not on the payroll of the Bank shall be\nexcluded.\u003C\u002Fp>\n\n\u003Ch2>3. CONDITIONS OF THE AGREEMENT\u003C\u002Fh2>\n\n\u003Cp>(a) The Bank recognises the Union on the basis of the Constitution of the\nUnion in force at the date of the execution of this Agreement, a copy of which\nis annexed hereto and initialled by the parties for identification purposes.\u003C\u002Fp>\n\n\u003Cp>The Union agrees that any alterations or additions to the Union’s\nConstitution will be done in strict accordance with the Industrial and Labour\nRelations Act.\u003C\u002Fp>\n\n\u003Cp>(b) The parties undertake to settle any or all industrial disputes according\nto the procedures as set out in the Agreement and as stipulated in Sections 75\nto 78 of the Industrial and Labour Relations Act.\u003C\u002Fp>\n\n\u003Cp>(c) The Union agrees that it will not initiate or support any action or\nproceedings designed or calculated to compel any employee to be or become a\nmember of the Union against his or her will and that it will not support any\nstrike or stoppage of work which is not taken according to the procedures of\nthe Industrial and Labour Relations Act and this Agreement.\u003C\u002Fp>\n\n\u003Cp>(d) The Union undertakes that employees who are Union official\ns\u002Frepresentatives will not leave\u003C\u002Fp>\n\n\u003Cp>their places of work for the purposes of conducting Union duties without\npermission of the management through their appropriate superiors. Such\npermission shall not be unreasonably withheld provided a notice of not less\nthan 48 hours is given.\u003C\u002Fp>\n\n\u003Cp>(e) The Union recognises that it is the prerogative of the Bank to\ndiscipline its\u003C\u002Fp>\n\n\u003Cp>employees for improper acts done in their capacity as employees provided\nthat in the case of unionised employees, Union Branch officials are\nsubsequently informed as soon as possible.\u003C\u002Fp>\n\n\u003Cp>(f) The Bank undertakes that it will not discriminate against or victimise a\nrepresentative or member of the Union on account of any legitimate activities\nin his\u002Fher\u003C\u002Fp>\n\n\u003Cp>capacity as a Union official or as a member. The Bank acknowledges\u003C\u002Fp>\n\n\u003Cp>that it is the prerogative of the Union to discipline its officials or\nmembers for unconstitutional acts done by them in their capacity as officials\nor members of the Union, The Bank further acknowledges that a fair disciplinary\naction by the management shall be based on conditions under which an employee\nworks \u002Fsupported by Agreements with the Union and the Industrial and Labour\nRelations Act) to ensure consistency of actions to all employees concerned.\u003C\u002Fp>\n\n\u003Cp>(g) The Bank undertakes to afford such facilities to the officials of the\nUnion\u003C\u002Fp>\n\n\u003Cp>as are mutually agreed as being necessary for the latter to carry out their\nduties as representatives of the employees at various places of work.\u003C\u002Fp>\n\n\u003Cp>(h) Both parties shall agree that it will do its best to avoid acts and\u002For\nconduct which\u003C\u002Fp>\n\n\u003Cp>are likely to lead to industrial unrest and that it will not encourage or\nsupport lock -outs\u002Fstrikes until all stages of settling the dispute as laid\ndown in this Agreement and the Industrial and Labour Relations Act are\nexhausted.\u003C\u002Fp>\n\n\u003Cp>(i) The Bank agrees to meet duly accredited representatives of the Union, as\nlong as a notice is given sufficiently in advance, for the purposes of\ndiscussing matters concerning the terms and conditions of employment of such\nemployees as the Union represents.\u003C\u002Fp>\n\n\u003Cp>(j) The Bank agrees that matters negotiated between the parties to this\nAgreement shall only be confined to bona fide members of the Union.\u003C\u002Fp>\n\n\u003Cp>(k) Management agrees with the Union that it will not discriminate on wages\nto employees on the basis of association but the principle of equal pay for\nequal work will apply.\u003C\u002Fp>\n\n\u003Ch2>4. ELECTION AND NOTIFICATION OF UNION OFFICIALS\u003C\u002Fh2>\n\n\u003Cp>(a) Union undertakes to notify the Bank in writing the names, designation,\nand areas\u003C\u002Fp>\n\n\u003Cp>of operation of all local Branch and National officials elected as per Union\nConstitution.\u003C\u002Fp>\n\n\u003Cp>(b) The Bank undertakes to notify the Union through the General Secretary in\nwriting of the names and designation of its officials and to advise any changes\nin this regard.\u003C\u002Fp>\n\n\u003Cp>(c) Normal rights of access to members and potential members shall be\naccorded to accredited\u003C\u002Fp>\n\n\u003Cp>Union representatives for the purpose of Union business subject to prior\nnotification to the Bank.\u003C\u002Fp>\n\n\u003Ch2>5. DEDUCTION OF UNION SUBSCRIPTIONS\u003C\u002Fh2>\n\n\u003Cp>(a) In accordance with Section 22 of the Industrial and Labour Relations\nAct, the Bank undertakes, with the consent of the employees who are members of\nthe Union, to recover subscription fees at the rate of 2% of basic salary (or\nas amended by the appropriate body of the Union from time to time).\u003C\u002Fp>\n\n\u003Cp>(b) The remittances referred to in (a) above shall be made by crossed cheque\nmarked “Not Negotiable” and “Account Payee Only,” and sent to the Head\nOffice of the Union.\u003C\u002Fp>\n\n\u003Ch2>6. JOINT NEGOTIATING COUNCIL\u003C\u002Fh2>\n\n\u003Cp>(a) In recognition of the fact that First Alliance Bank Zambia Limited\nprovides a vital service for for the benefit of the common man, the parties\nagree that the negotiating machinery will be subject to the provisions of the\nLaws of Zambia in force from time to time affecting Labour Laws. A Joint\nNegotiating Council comprising Union’s Negotiating Team on one hand and\nManagement Officials on the other, shall be formed and shall sit in Lusaka or\nany place it may deem convenient,\u003C\u002Fp>\n\n\u003Cp>(b) The Constitution and Rules of the Joint Negotiating Council are set out\nin Appendix “A”.\u003C\u002Fp>\n\n\u003Cp>(c) Subjects for Negotiations:-\u003C\u002Fp>\n\n\u003Cp>It is hereby agreed that the subjects listed in Appendix “B” hereto are\nsubjects for negotiations between the parties,\u003C\u002Fp>\n\n\u003Cp>(d) Subjects not for Negotiations:-\u003C\u002Fp>\n\n\u003Cp>It is hereby agreed that subjects mentioned in Appendix “C” shall not be\nsubjects for negotiations except where the Union observes the infringement of\nthis Agreement, Collective Agreements or elements of injustice in the action\ntaken by management.\u003C\u002Fp>\n\n\u003Ch2>7. GRIEVANCE PROCEDURE\u003C\u002Fh2>\n\n\u003Cp>(a) Individual Grievance\u003C\u002Fp>\n\n\u003Cp>Stage 1\u003C\u002Fp>\n\n\u003Cp>An employee desiring to raise a grievance with which he\u002Fshe is directly or\nindirectly or personally concerned shall in the first place raise it with\nhis\u002Fher immediate superior.\u003C\u002Fp>\n\n\u003Cp>Stage 2\u003C\u002Fp>\n\n\u003Cp>If the employee is not satisfied with the answer to Stage 1, he\u002Fshe will\nrefer his\u002Fher complaint to the Branch Union officials who together with him\u002Fher\nif need be, shall raise it with the Branch Manager or his\u002Fher equivalent who\nshall give an answer within three (3) working days.\u003C\u002Fp>\n\n\u003Cp>Stage 3\u003C\u002Fp>\n\n\u003Cp>Should the issue remain unsolved at Stage 2, the Union Branch officials will\narrange for a meeting with the Head Office Manager whichever is the case, to\ndiscuss the matter.\u003C\u002Fp>\n\n\u003Cp>The management will be required to give an answer within three (3) working\ndays.\u003C\u002Fp>\n\n\u003Cp>The Organisation chart should be observed.\u003C\u002Fp>\n\n\u003Cp>Stage 4\u003C\u002Fp>\n\n\u003Cp>If the solution is not forthcoming at Stage 3, the Union Branch officials\nand management shall submit the case in writing to their respective Head\nOffices giving full details of the subject. A meeting of the Joint Negotiating\nCouncil shall be arranged as soon as possible.\u003C\u002Fp>\n\n\u003Cp>Stage 5\u003C\u002Fp>\n\n\u003Cp>If agreement remains unresolved and the employee and\u002Fhis Union\nrepresentative wishes to proceed with the matter which will be referred to the\nExecutive Director. The Executive Director may arrange for the grievance\nenquiry. In the event of the matter being referred to the Executive Director,\nhe will be required to make a decision as soon as possible and in any case\nwithin 10 days.\u003C\u002Fp>\n\n\u003Cp>Stage 6.\u003C\u002Fp>\n\n\u003Cp>If the Joint Negotiating Council fails to reach an agreement, either party\nshall give seven (7) days notice of the intention to declare a dispute. Should\nthe other party fail to give a satisfactory reply, the aggrieved party will\nproceed with declaration of a dispute.\u003C\u002Fp>\n\n\u003Cp>(b) Collective Grievances\u003C\u002Fp>\n\n\u003Cp>These shall mean all grievances arising from a breach, real or alleged, of\nexisting terms of service on the matters specified in Appendix “B” of this\nAgreement which may affect all unionised employees of the Bank, such grievances\nshall be raised by the Union’s National Executive Council at Stage 3 of the\nprocedure laid down as Clause 7 (a) above and may proceed to Stages 4 and 5 if\nno solution is forthcoming.\u003C\u002Fp>\n\n\u003Ch2>8. AMENDMENTS TO AND TERMINATION OF THIS AGREEMENT\u003C\u002Fh2>\n\n\u003Cp>(a) This Agreement shall come into force on 21st February 2000 and shall\nremain in force until:-\u003C\u002Fp>\n\n\u003Cp>(i) Terminated by mutual consent of both parties.\u003C\u002Fp>\n\n\u003Cp>(ii) Amended and\u002For replaced by a new Agreement negotiated by the\nparties.\u003C\u002Fp>\n\n\u003Cp>(iii) One or both parties ceases to be a legal entity.\u003C\u002Fp>\n\n\u003Cp>(b) Either party wishing to amend or modify this Agreement shall give three\n(3) months notice to the other party of its proposed amendments or modification\ngiving full details of the same.\u003C\u002Fp>\n\n\u003Cp>IN WITNESS WHEREOF- We have hereunder set our hands this 21st day of\nFebruary in the year 2000.\u003C\u002Fp>\n\n\u003Cp>For and on behalf of FIRST ALLIANCE BANK (Z) LTD\u003C\u002Fp>\n\n\u003Cp>- EXECUTIVE DIRECTOR\u003C\u002Fp>\n\n\u003Cp>- CHIEF INSPECTOR\u003C\u002Fp>\n\n\u003Cp>- FINANCE MANAGER\u003C\u002Fp>\n\n\u003Cp>For and on behalf of THE UNION\u003C\u002Fp>\n\n\u003Cp>- PRESIDENT\u003C\u002Fp>\n\n\u003Cp>- GENERAL SECRETARY\u003C\u002Fp>\n\n\u003Cp>- NATIONAL TRUSTEE\u003C\u002Fp>\n\n\u003Cp>*************************\u003C\u002Fp>\n\n\u003Cp>APPENDIX A.\u003C\u002Fp>\n\n\u003Cp>CONSTITUTION AND RULES OF THE JOINT NEGOTIATING COUNCIL\u003C\u002Fp>\n\n\u003Cp>1. Membership\u003C\u002Fp>\n\n\u003Cp>The membership of the Council shall not be more than twelve (12) with an\nequal number of representatives from both parties. The quorum shall be six (6)\nwith equal representation.\u003C\u002Fp>\n\n\u003Cp>2. Election of Chairman\u003C\u002Fp>\n\n\u003Cp>(a) The Council shall elect the Chairman from among its members present at\nthe meeting. The Chairman so elected shall remain in the chair until the\nnegotiations so opened are concluded or otherwise.\u003C\u002Fp>\n\n\u003Cp>(b) A representative from management will normally be Secretary but a Union\nrepresentative may be appointed to be Secretary or either party may appoint its\nown Secretary.\u003C\u002Fp>\n\n\u003Cp>3. Meetings\u003C\u002Fp>\n\n\u003Cp>(a) Regular meetings of the Council will be held at intervals of not longer\nthan three (3) months with either party giving thirty (30) days notice to the\nother. The meetings shall normally be held during working hours on the Bank\nPremises.\u003C\u002Fp>\n\n\u003Cp>(b) Either party may call for an emergency meeting by giving seven (7) days\nnotice to the other party and full details of the items on the Agenda shall be\nstated.\u003C\u002Fp>\n\n\u003Cp>(c) Meetings called pursuant to provisions of Clause 7 (a) and (b) of this\nAgreement will take place within the period prescribed.\u003C\u002Fp>\n\n\u003Cp>4. Minutes\u003C\u002Fp>\n\n\u003Cp>Copies of the Minutes of every meeting shall be prepared by the Secretary\nand circulated to each member of the Council, two copies of which shall be\nsubmitted for approval at the next meeting.\u003C\u002Fp>\n\n\u003Cp>5. Failure to Reach Agreement and Deadlock at Joint Negotiating Council\u003C\u002Fp>\n\n\u003Cp>(a) If the two parties fail to agree on any matter referred to the Joint\nNegotiating Council the proposed difference or dispute shall be adjourned for a\nconsideration at a further meeting to be held at a mutually convenient time but\nnot later than two (2) weeks from the date of adjournment.\u003C\u002Fp>\n\n\u003Cp>(b) If after a further meeting the Council is still unable to reach an\nagreement, either party may give notice in writing within three (3) weeks\n(twenty-one days) after the second meeting indicated in (a) above of their\nintention to refer the dispute to appropriate authority in accordance with the\nLabour Laws of Zambia in force at that time.\u003C\u002Fp>\n\n\u003Cp>6. Agreements\u003C\u002Fp>\n\n\u003Cp>(a) Agreements reached between the two parties shall be reduced to writing\nin English and signed by the duly authorised member(s) of each side of the\nCouncil. Copies shall be given to each party and registered with the\nappropriate authorities in accordance with the Labour Laws in force at that\ntime.\u003C\u002Fp>\n\n\u003Cp>(b) Agreements shall be implemented with effect from the date the decisions\nare taken or such date the Council may decide.\u003C\u002Fp>\n\n\u003Cp>(c) Any Agreement reached by the Council regarding any proposal, difference\nor dispute referred to the pursuant to Clause 5 above, shall be binding upon\neach party. Transport Allowance DEFINITIONS In this Agreement:-\u003C\u002Fp>\n\n\u003Cp>“Joint Negotiating Council” means bargaining unit or negotiating team\nrepresenting the Bank and the Union.\u003C\u002Fp>\n\n\u003Cp>“Collective Agreement” means an agreement by an appropriate bargaining\nunit in which the terms and conditions affecting the employment and\nremuneration of employees are laid down. “Collective Dispute” shall be\nconstrued in accordance with the Industrial and Labour Relations Act.\u003C\u002Fp>\n\n\u003Cp>“Eligible Employee” means a unionisable employee other than a member of\nmanagement. “Employee” means any person who has entered into a contract of\nemployment with the Bank\u003C\u002Fp>\n\n\u003Cp>“Member” means a member of the Union.\u003C\u002Fp>\n\n\u003Cp>“Proper Officer” means a Labour Officer defined in the Industrial and\nLabour Relations Act.\u003C\u002Fp>\n\n\u003Cp>****************\u003C\u002Fp>\n\n\u003Cp>PROPOSAL TO AMEND CLAUSE 2 OF THE MEMORANDUM OF RECOGNITION AGREEMENT\u003C\u002Fp>\n\n\u003Cp>In accordance with Clause 8(b) of the Memorandum of Recognition Agreement\nbetween ZUFIAW and First Alliance Bank Zambia, we hereby notify you of our\nproposal to amend Clause 2 of the Memorandum of Recognition Agreement by\ndeleting the entire paragraph and replace it with the following new\nparagraph:\u003C\u002Fp>\n\n\u003Cp>\"Employees eligible for representation by the Union shall be employees who\nare not in management in accordance with the industrial and Labour Relations\nAct CAP 269 of the Laws of Zambia.\u003C\u002Fp>\n\n\u003Cp>The rationale for this proposed amendment is to align the Clause with the\nEmployment Act which defines an employee as follows:-\u003C\u002Fp>\n\n\u003Cp>\"employee\" means any person who has entered into or works under a contract\nof service, whether the contract is express or implied, is oral or in writing,\nand whether the remuneration is calculated by time or by work done, or is in\ncash or kind, but does not include a person employed under a contract of\napprenticeship made in accordance with the Apprenticeship Act or a casual\nemployee\u003C\u002Fp>\n\n\u003Cp>As a follow up, Section 5 of the Industrial and Labour Relations Act,\nconfers the employee with the following rights:\u003C\u002Fp>\n\n\u003Cp>’Notwithstanding anything to the contrary contained in any other written\nlaw and subject only to the provisions of Constitution and this Act every\nemployee shall have the following rights:\u003C\u002Fp>\n\n\u003Cp>(a) the right to take part in the formation of a trade union;\u003C\u002Fp>\n\n\u003Cp>(b) the right to be a member of a trade union of that employee's choice;\n’'\u003C\u002Fp>\n\n\u003Cp>The implication of the law as quoted above is that Clause 2 of our\nmemorandum of Recognition Agreement is in conflict with the Employment Act and\nthe Industrial and Labour Relations Act.\u003C\u002Fp>\n\n\u003Cp>However, Section 3 of the Industrial and Labour Relations Amendment Act No.\n8 of 2008 defines management as follows:-\u003C\u002Fp>\n\n\u003Cp>a) Head of an institution or undertaking and has authority to hire, suspend,\npromote, or demote an employee of the institution or undertaking\u003C\u002Fp>\n\n\u003Cp>b) Head of a department in an institution, or undertaking and has authority\nin the financial, operational, human resource, security, or policy matters of\nthe institution or undertaking\u003C\u002Fp>\n\n\u003Cp>c) Decision making authority in the financial, operational, personnel, or\npolicy matters of an institution or undertaking and who represents and\nnegotiates on behalf of the institution or undertaking in collective bargaining\nor negotiations with any trade union;\u003C\u002Fp>\n\n\u003Cp>d) Or with institutional authority to perform the functions referred to in\nparagraph a, b, c\u003C\u002Fp>\n\n\u003Cp>It is our considered view that after the agreement is amended, the decision\nto belong or not to belong to a trade union shall be based on individual\nchoice.\u003C\u002Fp>\n\n\u003Cp>We look forward to convening of the Bargaining Unit in accordance with the\nnotice in order to conclude this matter.\u003C\u002Fp>\n\n\u003Cp>Peggy Mubanga (Ms)\u003C\u002Fp>\n\n\u003Cp>ASSISTANT GENERAL SECRETARY ORGANISATION &amp;
