Box\n4612, Karachi – 74900, hereinafter referred to as the “COMPANY” (which\nexpression wherever the context so admits shall include and mean their\nsuccessors and assigns) of the ONE PART;\u003C\u002Fp>\n\n\u003Cp>AND\u003C\u002Fp>\n\n\u003Cp>The Pakistan Refinery Employees’ Union, a duly registered and certified\nbody under the relevant laws as the “Collective Bargaining Agent” for\nWorkmen employed or to be employed by the COMPANY at Karachi whether at Korangi\nRefinery or Keamari Terminal or any other location EXCLUDING Temporary,\nProbationary, apprentices, Badli (Substitute) and any other category of\nWorkmen, hereinafter called the “UNION” which expression shall include and\nmean its successor and assigns of the UNION and all present and future\nPermanent Workmen employed by the COMPANY.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>SHORT RECITAL OF THE CASE\u003C\u002Fp>\n\n\u003Cp>WHEREAS the UNION submitted a Charter of Demands to the COMPANY on 1st July,\n2013 under cover of its letter No. PREU\u002F2013 dated July 1, 2013;\u003C\u002Fp>\n\n\u003Cp>AND WHEREAS the COMPANY under cover of its letter dated 1st July, 2013 also\nsubmitted a Charter of Demands to the UNION for streamlining certain practices,\nissues and facilities;\u003C\u002Fp>\n\n\u003Cp>AND WHEREAS pursuant to the said Charters of Demands (Annexures ‘A’\n&amp; ‘B’), an industrial dispute having arisen, the COMPANY and the UNION\nentered into bilateral negotiations and discussions and several meetings were\nheld thereafter upto the signing of this settlement;\u003C\u002Fp>\n\n\u003Cp>AND WHEREAS in the process of negotiations and collective bargaining, the\nCOMPANY and the UNION have arrived at an Agreement contained hereinafter\nrepresenting full and final settlement of all the demands directly or\nindirectly specified in the Charters of Demands, or proposals, issues and\nrequests otherwise raised from time to time during the course of negotiations\nbetween the COMPANY and the UNION verbally or in writing leading upto the\nsigning of this Agreement.\u003C\u002Fp>\n\n\u003Cp>INTENT AND PURPOSE OF AGREEMENT\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>It is the intent and purpose of this Agreement to ensure industrial peace\nand to further strengthen the existing harmonious relationship between the\nparties hereto; to clarify the rights and the responsibilities of the COMPANY,\nthe UNION and the Workmen; to provide orderly and peaceful means of conducting\nnegotiations and resolving any misunderstandings or grievances; to compensate\nfor rising cost of living; to set forth herein the basic and complete Agreement\nbetween the parties covering rates of pay, wages and other conditions of\nemployment and to ensure continued efficiency, maximum productivity and economy\nin order to promote and improve the industrial and economic relationship of the\nCOMPANY and its Workmen.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>SCOPE OF AGREEMENT\u003C\u002Fp>\n\n\u003Cp>It is agreed and understood that this Agreement is conferred to and covers\nonly those Permanent Workmen employed by the COMPANY against permanent\npositions whose pay rates are given in Annexures ‘C’ &amp; ‘D’ (which\nare attached hereto and which form part of this Agreement) and whose names\nappear on COMPANY’s Payroll as on the date of signing of this Agreement.\nHowever, the benefits under this Agreement will also be available to those\nworkmen on proportionate basis who left the Company’s service from 1st July,\n2013 to the date of signing of this Agreement.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>RECOGNITION OF THE COMPANY’S AND UNION’S RIGHTS AND RESPONSIBILITIES\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>The COMPANY retains all rights and responsibilities of Management in its\nabsolute form resulting from ownership of the COMPANY and pertaining to the\noperation of the business.\u003C\u002Fp>\n\n\u003Cp>The rights and responsibilities shall mean and include but not be limited\nto:\u003C\u002Fp>\n\n\u003Cp>a) The right to direct and control the workforce, i.e., among others, the\nright to hire, promote, demote, transfer, discipline, discharge, to create or\ndiscontinue jobs, to determine the number of employees needed, employee\nqualifications, standards of performance, job requirements and job contents;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>b) To establish rules and regulations for plant, office and other\nwork-sites;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>c) To make optimum utilization of its workforce, tools, equipment and other\nresources;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>d) To maintain discipline and production efficiency, safety and security of\nthe plant, workshops, offices and COMPANY property;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>e) To determine the means, methods, processes, materials, procedures and\nschedules of job performance and production;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>f) To determine complement of workmen in each rotational shift ace in each\nparticular work unit and office.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>The Company’s exercise of its right to manage shall not violate any of the\nexpressed provisions of his Agreement or applicable laws.\u003C\u002Fp>\n\n\u003Cp>It is recognized that the function of the UNION is to serve within its\nsphere as the Collective Bargaining Agent on matters relative to wages, hours\nof work and conditions of employment as specifically expressed in this\nAgreement exclusively for confirmed workmen of the COMPANY in the categories\nand positions defined in Annexures ‘C’ &amp; ‘D’ of this Agreement.\u003C\u002Fp>\n\n\u003Cp>UNION and the Workmen recognize their responsibility to ensure:-\u003C\u002Fp>\n\n\u003Cp>i) a good day’s work from each of the workmen who are on duty at any site\nof the COMPANY;\u003C\u002Fp>\n\n\u003Cp>ii) that the workmen do not abandon, quit plant or any work unit whilst on\nduty without permission of the immediate Supervisor;\u003C\u002Fp>\n\n\u003Cp>iii) that the workmen deployed at the plant and other work units do not fail\nto perform all the various facets of their assigned job including data\nrecording, preparation and submission of reports and returns etc.;\u003C\u002Fp>\n\n\u003Cp>iv) that all workmen cooperate with the COMPANY and support its efforts\nto\u003C\u002Fp>\n\n\u003Cp>eliminate unnecessary excessive overtime, unauthorized absence and\u003C\u002Fp>\n\n\u003Cp>safeguarding of the COMPANY’s property against wastage and pilferage.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>This recognition of UNION rights and responsibilities should in no way be\ninterpreted as lessening of the COMPANY’s responsibilities to its individual\nworkmen. For this reason and also because of the road responsibilities of the\nCOMPANY to the Government of Pakistan, to its owners\u002Fshareholders, and to its\nworkmen, the relationship between the COMPANY and the UNION must be governed by\nthe principle that the COMPANY must maintain the right to initiate action. On\nthe other hand, the UNION must maintain the right to protest and appeal against\nthe actions of the COMPANY whenever they believe the COMPANY’s actions were\ncontrary to the Agreement\u002FLaw.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>INDUSTRIAL PEACE\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>It is agreed that during the tenure of this Agreement, neither the UNION nor\nany of the Workmen will collectively, concertedly, severally or individually\nengage in or participate, directly or indirectly, in any strike, go-slow, work\nstoppage, abandonment of employment or any other interference of production or\nwork for any cause arising out of the terms and conditions herein mentioned or\nany other cause of any nature, whatsoever. Similarly, the COMPANY agrees that\nduring the tenure of this Agreement, it will not declare lockout of any of the\nworkmen covered by this Agreement. The COMPANY retains the right to discipline\nor discharge any employee who violates this provision.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>The UNION undertakes to fully support the COMPANY’s efforts to boost\nproduction and efficiency and to fully cooperate with the COMPANY in\nmaintaining strict discipline. The UNION also undertakes not to make any demand\ninvolving direct or indirect financial implications to the COMPANY, whatsoever\nduring the operative period of this Agreement.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>NOW THEREFORE THIS AGREEMENT WITNESSETH AS FOLLOWS:-\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>TERMS OF AGREEMENT\u003C\u002Fp>\n\n\u003Ch2>\u003C\u002Fh2>\n\n\u003Ch2>1. WAGES \u002F PAY SCALES\u003C\u002Fh2>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-STRUCINCR_trigger\">\u003Cp>1.1 The company has agreed to grant one-time increase @ 20% in Basic Salary\nof workers. This increase will be calculated on the Basic Salary prevalent as\non 1st July, 2013. The increased amount so calculated will be effective from\n1st July, 2013 and will be added to the Basic Salary of all confirmed and\nregular Workmen covered by this Agreement who are on the COMPANY’s Payroll on\nthe date of signing of this Agreement. However, all those permanent workmen who\njoined the Company after 1st July, 2013 and before the signing of this\nAgreement i.e. October 17, 2014 (including probationers, if any) shall also be\nentitled for 20% increase in their Basic Salary from the date of their joining\nthe Company. It is further agreed that there shall be no further adjustment\nwhatsoever of the resultant basic pay within the revised scales.\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>This increase shall be adjusted and\u002For set off against any increase in wages\nor allowances and\u002For new allowance, which may, hereafter become payable by the\nCompany to its Workmen under any statute and \u002For Order of the Government due to\na rise in cost of living or otherwise.\u003C\u002Fp>\n\n\u003Cp>1.2 SCALES\u003C\u002Fp>\n\n\u003Cp>It is agreed to revise Pay Scales as per Annexure ‘C’ and ‘D’ of the\nsettlement which inclusive 20% increase in each starting scales and Rs 300\u002F- in\neach grade increment. The revised pay Scales will be effective from 1st January\n2015.\u003C\u002Fp>\n\n\u003Cp>1.3 ANNUAL INCREMENTS\u003C\u002Fp>\n\n\u003Cp>All permanent workers completing one year of continuous service with the\nCompany will receive an annual increment as provided in the revised Pay Scales\n(Annexure ‘C’ &amp; ‘D’). More than 3 months service period will be\nrequired for award of annual increment on 1st January each year. A worker\nhaving less than 3 months service with the company will NOT be eligible for\nannual increment on 1st January.\u003C\u002Fp>\n\n\u003Cp>The Company further agrees to grant single increment to all permanent\nworkers effective January 1, 2014 as follows irrespective of salary grades:\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>• Workers drawing basic salary below Rs 20500\u002F-Rs 250\u002F-p.m.\u003C\u002Fp>\n\n\u003Cp>• Workers drawing basic salary Rs 20,500\u002F- and above Rs 386\u002F-p.m.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>Those permanent workers who have been awarded double increment on January 1,\n2014 will be entitled to receive above increase accordingly.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Ch2>2. REFINERY ALLOWANCE\u003C\u002Fh2>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-ONCERISE_trigger\">\u003Cp>It is agreed by the COMPANY that Refinery Allowance @ Rs 1600\u002F- per month\nwill be paid to each permanent workmen effective July 1, 2013.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>This allowance does not form part of wages for the purpose of Provident\nFund, Gratuity, Overtime rates, 10-C Bonus &amp; Customary Bonus or any other\npayment\u002Fbenefits etc.\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Ch2>3. LEAVE FARE ASSISTANCE\u003C\u002Fh2>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-ANNLEAVE_trigger\">\u003Cp>3.1 It is agreed by the COMPANY to raise the Leave Fare Assistance from Rs.\n26,500\u002F- per annum to Rs. 35,500\u002F- per annum with effect from 1st July,\n2013:-\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>3.2 It is further agreed that Leave Fare Assistance for 2013 will be paid on\nprorate basis i.e., for the period January 2013 to June 2013 @ Rs. 26,500\u002F- per\nannum and from July 2013 to December 2013 to December 2013 @ Rs. 35,500\u002F- per\nannum.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>3.3 All other existing terms &amp; conditions governing payment of Leave\nFare Assistance shall remain unchanged.\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Ch2>4. TAXATION\u003C\u002Fh2>\n\n\u003Cp>It is agreed by the UNION that all benefits\u002F facilities and allowances etc.,\nthat are available to the workmen shall be subject to tax in accordance with\nthe tax rules of Pakistan.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Ch2>10. SERVICE RULES\u003C\u002Fh2>\n\n\u003Cp>The “Service Rules” have been updated and attached as Annexure ‘E’\nto this Agreement. These Rules will form part and parcel of the Agreement and\nconstitute one of the terms and conditions of employment\u002Fcontract of employment\nof the workmen.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Ch2>11. SEPARATION\u003C\u002Fh2>\n\n\u003Cp>Any workman who may have separated from the Company during this period i.e.,\nfrom 1st July, 2013 to the date of signing of this Agreement, shall be entitled\nto the benefits accruing from this Agreement on proportionate basis.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Ch2>12. BENEFITS UNDER THIS AGREEMENT\u003C\u002Fh2>\n\n\u003Cp>All benefits under this Agreement shall accrue from the date of signing of\nthis Agreement unless otherwise specified against the individual item.\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>It is further agreed that the benefits covered under this Settlement are\nwith the object of setting off the increasing\u002Frising Cost of Living and\ntherefore, any benefit or any allowance which may be introduced, during the\nperiod of this Settlement, through legislation or otherwise by any Government\nannouncement will not be in addition to the benefit(s) admissible under this\nSettlement. Should any benefit(s) introduced by Government, as aforesaid, be\nmore than admissible under this Settlement, the difference between the\nbenefit(s) introduced by the Government and those admissible under this\nSettlement will be paid to make up the difference only and not the whole\nintroduced by the Government.\u003C\u002Fp>\n\n\u003Ch2>13. INTERPRETATION OF AGREEMENT\u003C\u002Fh2>\n\n\u003Cp>A dispute of difference arising out of the construction or interpretation of\nany clause of this Settlement may be referred to a Court having jurisdiction,\neither by the Union or the Company, for decision.
