Agreement\u003C\u002Fh3>\n\n\u003Cp>This agreement signifies the commitment of HERMES PARCELNET Limited\n(“Hermes”) and the GMB Trade Union (“GMB”) to work together in\npartnership in the joint interests of the company and everyone associated with\nthis agreement\u003C\u002Fp>\n\n\u003Cp>The purpose of this Agreement is to establish a framework to develop and\nmaintain constructive relationships which support a culture of business\nexcellence.\u003C\u002Fp>\n\n\u003Cp>This Agreement is designed to provide an environment in which individuals\nwho provide delivery and collection services to Hermes on a self-employed basis\nas “Self-Employed Plus Couriers\" can develop, acquire and practise new\nadditional skills to help them provide a better services to Hermes. In return\nHermes will work to develop new products and services to win new business and\nretain existing business so as to provide security of provision of services for\nSelf Employed Plus Couriers wherever possible.\u003C\u002Fp>\n\n\u003Cp>The parties to this Agreement are Hermes and the GMB (the “Partners\").\u003C\u002Fp>\n\n\u003Ch3 id=\"L47\">Principles and Pillars of Partnership\u003C\u002Fh3>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners are mutually committed to the\nbusiness success of Hermes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners are committed to a relationship\nwhich will focus on improving the retention of services and quality of life of\nSelf Employed Plus Couriers.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners have a shared understanding that\nthe relationship should deliver benefits for all parties and that any agreement\nreached should not have a materially negative effect on the profitability of\nHermes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners acknowledge that from time to time\nthere may be legitimate differences in interests and priorities and commit\nthemselves to resolve these in a spirit of mutual trust and respect.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners will work together to continually\nimprove the opportunities that are available for Self Employed Plus Couriers to\nperform services to Hermes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners are committed to a culture of\ntransparency and openness where true consultation can take place and the Self\nEmployed Plus Couriers have a real Voice\u003C\u002Fp>\n\n\u003Ch3 id=\"L63\">Partnership Practice\u003C\u002Fh3>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners mutually recognise that a\npartnership of equals, delivers commitment from those engaged in the process,\nand helps create fair and reasonable and effective working policies and\npractices.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners will share values and goals, and\nwill work together through dialogue and proper consultation.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners will jointly develop a relationship\nbased on flexibility and co-operation\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The Partners recognise that loyalty and\ncommitment to their relationship under the principles and terms of practice set\nout in this Partnership Principles Agreement are fundamental to the success of\nrelationships between them.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Hermes is committed to involving and consulting\nwith GMB members who are Self Employed Plus Couriers and their representatives\ninwffiCrr II iy GMB Uftion will play an integral part.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Hermes will recognise and support membership of\nGMB Union, and will assist with providing access to Self Employed Plus Couriers\nas potential new members for joining purposes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Hermes will encourage Self Employed Plus\nCouriers who are GMB members, and therefore covered by this agreement, to\nbecome representatives without fear of reprisal, or undue pressure to dissuade,\nand as such they will be treated with respect and dignity.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•GMB will do all it can to ensure that those that\nseek and take up the position of representative have good attitudes and\nbehaviours towards Hermes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">GMB will encourage its members who are Self\nEmployed Plus Couriers to act responsibly in their dealings with Hermes and to\nuse the framework of this Agreement to settle any differences.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•It is recognised that the spirit of mutual trust\non which this agreement is based will entail that from time to time the company\nand the GMB Uriioh will exchange information of a confidential nature\n(“Confidential Information\"). Each party agrees to keep Confidential\nInformation confidential and to use it only for the purposes of this Agreement\nEach party will use the same degree of care, but no less than a reasonable\ndegree of care, to prevent the unauthorised disclosure of the Confidential\nInformation of the other party as uses to protect its own confidential\ninformation of a like nature. The GMB will ensure that each GMB representative\nsigns a non-disclosure agreement with Hermes on terms agreed between the GMB\nand Hermes.\u003C\u002Fp>\n\n\u003Cp>Date, 2019....\u003C\u002Fp>\n\n\u003Ch2 id=\"L93\">Procedure Agreement 1\u003C\u002Fh2>\n\n\u003Ch3 id=\"L95\">Recognition Agreement and Collective Negotiation and Consultation\nProcedures\u003C\u002Fh3>\n\n\u003Ch3 id=\"L97\">Parties\u003C\u002Fh3>\n\n\u003Cp>1.The parties to this Agreement are Hermes Parcelnet Limited\n(’’Hermes”), on the first part and the GMB Trade Union (“GMB”) on the\nsecond part.\u003C\u002Fp>\n\n\u003Ch3 id=\"L101\">Scope\u003C\u002Fh3>\n\n\u003Cp>2.This Procedure Agreement 1 and Annexes A to G inclusive applies to Self\nEmployed Plus Couriers who it is agreed are self-employed contractors engaged\nby Hermes under a contract for services and those 194 individuals who provide\nservices to Hermes under a self-employed worker contract For the purposes of\nthis Procedure Agreement 1 and Annexes, any reference to Self Employed Plus\nCouriers shall also be a reference to those aforementioned 194 individuals. The\nmaterial terms and conditions upon which the Self Employed Plus Couriers\nprovide services are agreed between Hermes and the GMB and set out in an\nagreement that is supplemental to this Agreement and is signed by both parties\non or immediately after the time that this Agreement is entered into (the\n“Supplemental Agreement”).\u003C\u002Fp>\n\n\u003Cp>3.Other individuals who provide delivery and collection services to Hermes\non a self-employed contractor basis as Lifestyle Couriers are not covered by\nthe Procedure Agreement 1 and its Annexes save that the terms of Annex H will\napply to them so that they are allowed rights to representation by a GMB\nrepresentative only up to RegionaTbelivery Manager Level, which will be the\nonly and final stage of such representation.\u003C\u002Fp>\n\n\u003Ch3 id=\"L107\">Recognition\u003C\u002Fh3>\n\n\u003Cp>4. Hermes recognises the sole right of the GMB to consult, represent and\nnegotiate on behalf of its members as defined within the scope above.\u003C\u002Fp>\n\n\u003Cp>5.\u002FHermes acknowledges the GMBas its primary trade union for recognition in\nconnection with individuals I who provide delivery and collections services on\na self-employed basis as Self Employed Plus Couriers and confirms its sole\nrights for collective consultation, representation and negotiation purposes on\nbehalf ^of Self Employed Plus Couriers who become members of the GMB.\u003C\u002Fp>\n\n\u003Cp>6.ZTiermes will offer the facility and promote (for the purposes of\nmembership of the GMB) to individuals who I are providing delivery and\ncollection services to Hermes on a self-employed basis as Lifestyle Couriers or\nSelf Employed Plus Couriers the benefits of the relationship with the GMB and\nwill support Lifestyle Couriers k and Self Employed Plus Couriers to join the\nGMB.\u003C\u002Fp>\n\n\u003Ch3 id=\"L117\">General Principles\u003C\u002Fh3>\n\n\u003Cp>7.Hermes and the GMB have a common objective in using this procedural\nframework of information provision and collective consultation and where\napplicable collective negotiation to achieve results beneficial to both Hermes\nand individuals who are providing delivery and collection services to Hermes on\na self-employed basis as Self Employed Plus Couriers, through a representative\nsystem of GMB Union members.\u003C\u002Fp>\n\n\u003Cp>8.The procedural framework agreement and procedures established by this\nAgreement are founded upon ) the following principles:\u003C\u002Fp>\n\n\u003Cp>An expectancy for all concerned to be treated with dignity and respect.\u003C\u002Fp>\n\n\u003Cp>Hermes’s objective is to be known as a good company that aiso values those\nengaged on a contracts for services for the valued contribution they make.\u003C\u002Fp>\n\n\u003Cp>The processes of collective negotiation and joint consultation (as\napplicable) rest upon the concept of both parties seeking to reach agreement\nwithin the context that the profitability of Hermes must be respected,\npreserved and not prevented from growing and where the matter being agreed is\nfuture rights and entitlements of Self Employed Plus Couriers it is fair that\nthe burden of funding these is shared between Hermes and Self Employed Plus\nCouriers in an equitable and sustainable way so that Hermes is able to provide\ncontinuity of service provision to ail Self Employed Plus Couriers.\u003C\u002Fp>\n\n\u003Cp>Both parties acknowledge and accept Hermes' absolute right to manage and\ndevelop, without interference or delay, its own business and the services and\nproducts it provides to its customers and clients either directly or through\nthe services of third parties; for the avoidance of doubt such third parties\ninclude (without limitation) SE+ Couriers.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•This Agreement and Annexes sets out the specific\nprocedures to be followed by the parties and concerning matters that are\nconfined to information provision, consultation and negotiation.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•This Agreement is an important channel through\nwhich Self Employed Plus Couriers have an opportunity to have a voice,\nparticipate in and be consulted upon questions and matters concerning their\nservices as a Self Employed Plus Courier. In order that dialogue within the\nthese procedures can be both representative and effective, Hermes will provide\naccess to Self Employed Plus Couriers to join the GMB within the scope of this\nAgreement.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The parties agree that consultations shall mean\nto fully inform each other of any relevant issues and plans, and then engage in\ntimely and meaningful discussions and consider all comments of the other\nparty.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The parties agree that negotiations shall mean\nto engage in timely, constructive and good faith discussions aimed at reaching\nagreement on the matters that are being so negotiated.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">9.In pursuance of these principles and as a\ncontribution to involvement and participation through the process of collective\nnegotiation and consultation (as appropriate) the general procedures\nestablished by this Agreement:\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•provides for representation in a flexible manner\nat the local and regional national levels.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Deals with collective questions only.\u003C\u002Fp>\n\n\u003Cp>Provides the means for questions to be resolved as speedily as possible at\nthe lowest level possible in these procedures.\u003C\u002Fp>\n\n\u003Cp>10.The parties to this Agreement accept that they have a joint\nresponsibility to ensure that the acceptance of\u003C\u002Fp>\n\n\u003Cp>proposals is not unreasonably withheld or delayed and, once questions or\nmatters have been settled, to take all reasonable steps to ensure their\nsuccessful implementation. They further acc ept that differences and disputes\nwill be dealt with in accordance with Annex D of this Agreement\u003C\u002Fp>\n\n\u003Cp>11.Hermes agrees not to implement material alterations to any pay model and\nbenefits of the Self Employed\u003C\u002Fp>\n\n\u003Cp>Plus Couriers as described within the scope of this Agreement, without\nproper, full and meaningful, exchanges, through negotiation and consultation\n(as appropriate), unless the procedure agreement has, been fully exhausted.\u003C\u002Fp>\n\n\u003Cp>12.The GMB agrees not to encourage its members to take any form of\nindustrial action until the dispute \\ I resolution procedures in this procedure\nagreement has been fully exhausted' \\\u003C\u002Fp>\n\n\u003Cp>13.Hermes and GMB agree that it shall keep all lines of communication open\nat all times, including between the CEO of Hermes and the General Secretary or\nthe GMB.\u003C\u002Fp>\n\n\u003Ch3 id=\"L159\">The Collective Bargaining Process\u003C\u002Fh3>\n\n\u003Cp>14.The collective negotiation and consultation processes and information\nprovision processes established by this Agreement shall be comprised of the\nfollowing bodies, the constitutions of which are set out in the specified\nparagraphs and Annexes to this Agreement:\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">1.Joint National Negotiating Forum (JNNF) as set\nout in Annex A.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">2.Joint National Consultation Forum (JNCF) as set\nout in Annex B\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">3.Joint Regional\u002F Divisional Consultation Forum\n(JRDCF) as set out in Annex C.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">4.Time off for Trade Union Duties &amp; Activities\nas set out in Annex D.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">5.Health &amp; Safety as set out in Annex E.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">6.Access and rights to organise are set out in\nAnnex F.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">8.Rights of representation for Lifestyle Couriers\nare set out in Annex G\u003C\u002Fp>\n\n\u003Cp>15.The Joint National Negotiating Forum referred to as the (JNNF) is the\nonly body that can collectively agree changes to this Agreement and matters\nthat have a national impact. The JNNF has established arrangements for the\nJoint National Consultation Forum (hereinafter referred to as the “JNCF”)\nas set I out in Annex B and the Regional\u002FDivisional Consultation Forum as set\nout in Annex C.\u003C\u002Fp>\n\n\u003Cp>16.The JNNF shall be established in accordance with the constitution set out\nin Annex A to this agreement. The JNNF may by joint agreement from time to\ntime, vary its constitution, provided that the constitutional arrangements are\nbased upon the general principles of this Agreement set out in paragraphs 7 to\n13 inclusive.\u003C\u002Fp>\n\n\u003Ch3 id=\"L183\">Consultation and negotiation\u003C\u002Fh3>\n\n\u003Cp>17.The parties agree that arrangements for consultation and negotiation will\nbe addressed as set out in Annex A paragraph 15, to this Agreement.\u003C\u002Fp>\n\n\u003Cp>interpretation\u003C\u002Fp>\n\n\u003Cp>18.Only the JNNF has the ability to make formal agreements on general terms\nand conditions applicable \u002F to Self Employed Plus Couriers. Questions of\ninterpretation of substantive agreements reached within i the collective\nnegotiating process established by this Agreement can only be dealt with by\nthis body,\u003C\u002Fp>\n\n\u003Cp>20.The parties to this Agreement may amend it in such ways as they think fit\nby agreement Either party may terminate this Agreement by giving six months'\nnotice in writing to the other party.\u003C\u002Fp>\n\n\u003Cp>Signed on behalf of the GMB Trade Union\u003C\u002Fp>\n\n\u003Cp>Signed on behalf of Hermes Parcel net Limited\u003C\u002Fp>\n\n\u003Ch2 id=\"L203\">ANNEX A TO PROCEDURE AGREEMENT 1\u003C\u002Fh2>\n\n\u003Ch2 id=\"L205\">Constitution: Joint National Negotiating Forum (JNNF)\u003C\u002Fh2>\n\n\u003Ch3 id=\"L207\">Purpose\u003C\u002Fh3>\n\n\u003Cp>1.fThe parties agree that harmonious working relationships are best achieved\nwhen all parties feel\u003C\u002Fp>\n\n\u003Cp>I involved and that their interests and voices are represented. The parties\nagree to enter into meaningful \\collective negotiation and consultation (as\nappropriate) and work together to agree to settle material terms and conditions\nfor the Self-Employed Plus Couriers. The Joint National Negotiating Forum\n(JNNF) shall consider both business performance of Hermes and collective\nconsiderations of Self- Employed Plus Couriers when working towards agreement\non matters of collective interest\u003C\u002Fp>\n\n\u003Ch3 id=\"L213\">Scope\u003C\u002Fh3>\n\n\u003Cp>2.Those in scope of this agreement are Self Employed Plus Couriers.\u003C\u002Fp>\n\n\u003Ch3 id=\"L217\">Composition\u003C\u002Fh3>\n\n\u003Cp>3.The JNNF shall consist of:\u003C\u002Fp>\n\n\u003Ch3 id=\"L221\">Company members\u003C\u002Fh3>\n\n\u003Cp>Director of Delivery Experience\u003C\u002Fp>\n\n\u003Cp>Members of Senior Management\u003C\u002Fp>\n\n\u003Cp>Union Members\u003C\u002Fp>\n\n\u003Cp>National Officer GMB\u003C\u002Fp>\n\n\u003Cp>9 National Negotiating Forum GMB representatives\u003C\u002Fp>\n\n\u003Ch3 id=\"L233\">Periods of office\u003C\u002Fh3>\n\n\u003Cp>4.GMB representatives will be appointed every 3 years, after being elected\nby Self Employed Plus Couriers\u003C\u002Fp>\n\n\u003Cp>who are GMB Members in their respective regions.\u003C\u002Fp>\n\n\u003Ch3 id=\"L239\">Vacancies\u003C\u002Fh3>\n\n\u003Cp>5.In the event of death, prolonged absence or resignation of a member\nceasing to provide services to Hermes, the GMB shall appoint a substitute to\ncover the vacancy either for the period of absence or for the remainder of the\nperiod of office.\u003C\u002Fp>\n\n\u003Cp>6.The JNNF shall not be prevented from carrying out its function due to any\nvacancies or short term absences. At all meetings of the JNNF the National\nOfficer GMB or in their absence another GMB full time officer nominated by the\nNational Officer GMB shall be present, and at least four other representatives\nfrom the trade union side.\u003C\u002Fp>\n\n\u003Ch3 id=\"L245\">Substitutes\u003C\u002Fh3>\n\n\u003Cp>7.It is the responsibility of the GMB National Officer to nominate a\nsubstitute if deemed appropriate.\u003C\u002Fp>\n\n\u003Ch3 id=\"L249\">Committees\u003C\u002Fh3>\n\n\u003Cp>8.The JNNF may from time to time establish sub committees and working\nparties to expedite matters. The make-up of these groups will be agreed by\nHermes ShcTNational Officer GMB, appropriate to the subject.\u003C\u002Fp>\n\n\u003Ch3 id=\"L253\">Meetings\u003C\u002Fh3>\n\n\u003Cp>9.The JNNF will meet in the month of June in each year of this Agreement\nand\u002For as and when required, by mutual agreement, and in particular where there\nhas been a Failure to Agree registered at any JNCF.\u003C\u002Fp>\n\n\u003Ch3 id=\"L257\">Notice and Agendas\u003C\u002Fh3>\n\n\u003Cp>10.Notice shall be given to all forum members of every meeting of the JNNF.\nNotice shall be accompanied by an agreed Agenda setting out the agreed business\nto be discussed at the meeting.\u003C\u002Fp>\n\n\u003Ch3 id=\"L261\">Business Limited to Agendas\u003C\u002Fh3>\n\n\u003Cp>11.No business shall be transacted at the JNNF unless notice has been given\non the agenda. However, consideration of an item of business which is agreed is\nof sufficient urgency or importance can be added during a JNNF.\u003C\u002Fp>\n\n\u003Ch3 id=\"L267\">Minutes\u003C\u002Fh3>\n\n\u003Cp>12.Minutes in draft form will be produced by the management team, setting\nout the brief discussion headings, the agreement and actions that took place at\nthe meeting, within a reasonable time of the meeting taking place. Minutes will\nbe numbered. Alterations and amendments shall be agreed between the National\nOfficer GMB, and the appropriate management team member, within a further\nreasonable period, prior to the final copy being signed, dated, and distributed\nby both parties as a true and correct record.\u003C\u002Fp>\n\n\u003Ch3 id=\"L271\">Negotiating Procedures\u003C\u002Fh3>\n\n\u003Cp>13.The parties agree that it is in their interest to negotiate the matters\nas set out in paragraph 15 of this Annex A to Procedure Agreement 1.\u003C\u002Fp>\n\n\u003Cp>14.Average earnings and company expenses will be paid to all representatives\nfor time spent on duties [ and activities arising out of these procedures, in\naccordance with Annex D to Procedure Agreement 1, I paragraph 21.\u003C\u002Fp>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-holidaysdays\">\u003C\u002Fdiv>\u003Cdiv class=\"cbaClause highlight\" id=\"clause-WAGES_trigger\">\u003Cdiv class=\"cbaClause highlight\" id=\"clause-holidaysdays\">\u003Cp>15.It is agreed that the following are matters for negotiation at National\nlevel.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em\">(i)The making of material changes to the Hermes\nModel (as defined in the Supplemental Agreement) to implement the findings or\nrecommendations of any audit of the Hermes Model carried out under the terms of\nthe Supplemental Agreement It is agreed that for the first two years of this\nagreement both \u002Fparties will refrain from negotiating any material changes to\nthe existing Hermes Model, unless both ' parties agree to discuss.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em\">(ii)Non parcel rate payments (including without\nlimitation incentive bonuses) that form part of the agreed terms and condlttonb\nof Self Employed Plus Couriers. For the avoidance of doubt the setting of\nparcel rate shall not be subject to any negotiation between Hermes and the GMB\nbecause they are negotiated directly between Hermes and the relevant individual\nwho are, or become, SE+ Couriers. TurtHerrrrere-the-rules that Hermes uses to\ndecide the value of the parcel rates it offers to individuals during any such\nnegotiations shall not be subject to any negotiation between Hermes and the\nGMB,\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em\">(iii)Holidays.\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-WAGES_determined\">\u003Cp style=\"margin-left:2em;\">(iv) The methodology of how the National Living\nWage is calculated and paid according to the Hermes Model (referred to in\nparagraph 15(i)).\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Cp style=\"margin-left:2em;\">(v)How to continue to grant or move towards\ngranting (as the case may be) rights and entitlements to Self Employed Plus\nCouriers that are consistent with worker status within the meaning of\ns230(3)(b) Employment Rights Act 1996, and s54(3)(b) National Minimum Wage Act\n1998. For the avoidance of doubt any holiday entitlement agreed to be provided\nby Hermes to Self Employed Plus Couriers will be provided as a consequence of,\nand pursuant to, negotiations between Hermes and GMB.\u003C\u002Fp>\u003C\u002Fdiv>\u003Cp style=\"margin-left:2em;\">\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">(vi)The cost to Hermes of the time off of the GMB\nrepresentatives pursuant to Annex D of this Agreement\u003C\u002Fp>\n\n\u003Cp>16.As determined by this agreement, under the auspices of the JNNF. The\nfollowing will be matters for consultation at the Joint National Consultation\nForum (JNCF)\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Agreements reached at the JNNF.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Performance of the business, and the business\nplans.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Planning needed to meet seasonal requirements\nfor the services of SE+ Couriers.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Introduction of new technology.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The training requirements of GMB representatives\nand possible training to be given to SE+ Couriers so that they are better able\nto perform services to Hermes\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Complaints that are unresolved following\nescalation to the Hermes Services Provider Complaints Panel.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The fair treatment of Self Employed Plus\nCouriers by Hermes and its employees.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Ways in which loss and\u002For damage to parcels can\nbe reduced across the population of Self Employed Plus Couriers.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Use of surveillance and monitoring\ntechnology.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Organisation changes and updates.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Winning and loss of contracts with clients.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Development of the C2X service.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Other matters of legitimate collective\ninterest.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•The time take or to be taken off of the GMB\nrepresentatives pursuant to Annex D of this Agreement\u003C\u002Fp>\n\n\u003Ch3 id=\"L327\">Dispute Resolution\u003C\u002Fh3>\n\n\u003Cp>17.The questions referred to under paragraph 15, (i) to (vi) inclusive shall\nbe determined and finalised by the JNNF. The Procedure is exhausted once\nnegotiations and discussions within the JNNF have been concluded.\u003C\u002Fp>\n\n\u003Cp>This does not preclude further discussions between the Hermes Legal Director\nand the GMB National Officer, to consider what other steps, including\nthird-party conciliation with ACAS, which might assist resolution of questions\nupon which there has been a registered Failure To Agree arising from the RDCF\nor JNCF or within the JNNF itself.\u003C\u002Fp>\n\n\u003Ch3 id=\"L335\">Interpretation\u003C\u002Fh3>\n\n\u003Cp>18.Questions of interpretation of substantive agreements reached at the JNNF\nwithin the collective\u003C\u002Fp>\n\n\u003Cp>negotiation procedure, shall only be dealt with by the parties and the body\nwhich made the agreement.\u003C\u002Fp>\n\n\u003Ch3 id=\"L341\">Consultation\u003C\u002Fh3>\n\n\u003Cp>19.In all cases of matters of resolution and agreement affecting material\nterms and conditions of Self Employed Plus Couriers (for the avoidance of doubt\nthis will not include the services provided to Hermes and matters incidental to\nsuch services) reached at the JNNF, pr ior to formal acceptance of such,\nappropriate consultation will take place with those GMB members affected. Where\nGMB and Hermes have reached agreement in principle GMB would recommend\nacceptance of the proposal.\u003C\u002Fp>\n\n\u003Ch2 id=\"L349\">ANNEX B TO PROCEDURE AGREEMENT 1\u003C\u002Fh2>\n\n\u003Ch3 id=\"L351\">Constitution: Joint National Consultation Forum (JNCF)\u003C\u002Fh3>\n\n\u003Ch3 id=\"L353\">Purpose\u003C\u002Fh3>\n\n\u003Cp>1.The parties accept the need to maintain and promote harmonious working\nrelationships and effective\u003C\u002Fp>\n\n\u003Cp>communications with Self Employed Plus Couriers and their GMB\nrepresentatives. The Joint National Consultation Forum will promote the sharing\nof business information, discussion on matters of common\u002F collective interest\nand discussion on matters which affect the Self Employed Plus Couriers covered\nby this agreement, and the company activities and performance.\u003C\u002Fp>\n\n\u003Ch3 id=\"L359\">Composition\u003C\u002Fh3>\n\n\u003Cp>2.The JNCF shall consist as follows\u003C\u002Fp>\n\n\u003Ch3 id=\"L363\">Company members\u003C\u002Fh3>\n\n\u003Cp style=\"margin-left:2em;\">Director of Delivery Experience\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Other Members of Senior Management\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Once per annum, the CEO will attend the meeting to\ngive a state of the nation address.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Union Members10\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">National Officer GMB 9 Joint National Consultation\nForum GMB representatives\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Members to serve for three years\u003C\u002Fp>\n\n\u003Cp>3.GMB representatives of the Joint National Consultation Forum will be\nelected every 3 years in accordance with at Annex A to procedure agreement 1,\nparagraph 4.\u003C\u002Fp>\n\n\u003Cp>Average earnings (as calculated in accordance with paragraph 21 of Annex D\nto Procedure Agreement 1) and expenses will be paid to all representatives for\ntime spent in activities arising out the JNCF.\u003C\u002Fp>\n\n\u003Ch3 id=\"L381\">Vacancies\u003C\u002Fh3>\n\n\u003Cp>4.In the event of death, prolonged absence or resignation of a GMB\nrepresentative, the GMB shall appoint a substitute to cover the vacancy either\nfor the period of absence or, in the case of death or resignation, for the\nperiod in which elections are held to replace the relevant GMB\nrepresentative.\u003C\u002Fp>\n\n\u003Ch3 id=\"L385\">Vacancies not to invalidate proceedings\u003C\u002Fh3>\n\n\u003Cp>5.The JNCF shall not be prevented from carrying out its function due to any\nvacancies or short term absences on the Forum. At all meetings of the JNCF the\nNational Officer GMB or in their absence another GMB Full Time Officer shall be\npresent, and at least four other representatives from the trade union side.\u003C\u002Fp>\n\n\u003Ch3 id=\"L389\">Substitutes\u003C\u002Fh3>\n\n\u003Cp>6.It is the responsibility of the GMB National Officer to nominate a\nsubstitute if deemed appropriate.\u003C\u002Fp>\n\n\u003Cp>Annually Hermes and GMB will review the time and costs of the different\nforums and meeting arrangements.\u003C\u002Fp>\n\n\u003Ch3 id=\"L395\">Committees\u003C\u002Fh3>\n\n\u003Cp>7.The JNCF may from time to time establish sub committees and working\nparties to expedite matters. The make-up of these groups will be agreed by the\nmanagement team of Hermes and National Officer, appropriate to the subject. In\nall instances the sub committee and working party will report back to the JNCF\nfor final ratification of their findings.\u003C\u002Fp>\n\n\u003Ch3 id=\"L399\">Meetings\u003C\u002Fh3>\n\n\u003Cp>8.The JNCF will meet every three months, and will be diarised prior to the\nbeginning of each year.\u003C\u002Fp>\n\n\u003Ch3 id=\"L403\">Special Meetings\u003C\u002Fh3>\n\n\u003Cp>9.Either party may reasonably request a special meeting of the JNCF, and\nsuch will be held within 21 days if so requested.\u003C\u002Fp>\n\n\u003Ch3 id=\"L407\">Notice and Agendas\u003C\u002Fh3>\n\n\u003Cp>10.Notice shall be given to all forum members of every meeting of the JNCF.\nNotice shall be\u003C\u002Fp>\n\n\u003Cp>accompanied by a standard Agenda setting out business to be discussed at the\nmeeting.\u003C\u002Fp>\n\n\u003Ch3 id=\"L413\">Business Limited to Agendas\u003C\u002Fh3>\n\n\u003Cp>11.No business shall be transacted at the JNCF unless notice has been given\non the agenda. The meeting will, however, allow the consideration of any item\nof business which in their opinion is of sufficient urgency or importance.\u003C\u002Fp>\n\n\u003Ch3 id=\"L417\">Minutes\u003C\u002Fh3>\n\n\u003Cp>12.Minutes in draft form will be produced by the management team, setting\nout the brief discussions and heading, agreements and actions that took place\nat the meeting, within a reasonable period after the meeting taking place. Such\nminutes will be numbered. Alterations and amendments shall be agreed between\nthe National Officer GMB, and the appropriate management team member, within a\nreasonable period days, prior to the final copy being, dated, and distributed\nby both parties as a record of discussions that took place.\u003C\u002Fp>\n\n\u003Cp>Matters that are regarded as confidential, a separate confidential record\nwill be kept, which can only be kept by the parties to the discussion, and will\nremain confidential unless it is agreed to release such information.\u003C\u002Fp>\n\n\u003Ch3 id=\"L423\">Dispute Resolution\u003C\u002Fh3>\n\n\u003Cp>13.Where a Failure to Agree has been referred to a JNCF from a RDCF the\nmembers of the JNCF will work together to consider and discuss the Failure to\nAgree with a view to reaching an agreement to resolve the Failure to Agree. The\nconsideration of the Failure to Agree by the JNCF will be carried out in the\ncontext that the members appreciate that this should be the final point of\nescalation if at all possible and that finding an agreement and an acceptable\ncompromise should be given the upmost consideration of all parties.\u003C\u002Fp>\n\n\u003Cp>If considered appropriate, the question may be referred back to another\nlevel of this procedure for further discussion with guidance and direction\ngiven by the JNCF. It may also be decided that attendance at this meeting can\nbe made by members of the JNCF as agreed. Any failure to reach agreement at\nthis level will be referred back again to the members of the JNCF for\nresolution at the next arriving JNCF.\u003C\u002Fp>\n\n\u003Cp>In the event that a registered Failure to Agree arises during the course any\nJNCF or the JNCF is unable to settle a dispute referred to it by a RDCF, the\nmatter shall be referred to the JNNF for resolution.\u003C\u002Fp>\n\n\u003Cp>Signed on behalf of GMBTrade Union\u003C\u002Fp>\n\n\u003Cp>Signed on behalf of Hermes Parcelnet Limited\u003C\u002Fp>\n\n\u003Ch2 id=\"L443\">ANNEX C TO PROCEDURE AGREEMENT 1\u003C\u002Fh2>\n\n\u003Ch2 id=\"L445\">Constitution: Regional\u002F Divisional Consultation Forum (RDCF)\u003C\u002Fh2>\n\n\u003Ch3 id=\"L447\">Purpose\u003C\u002Fh3>\n\n\u003Cp>1.The parties accept the need to maintain and promote harmonious working\nrelationships and effective communications with Self Employed Plus Couriers and\ntheir GMB representatives. The Regional\u002FDivisional Consultation Forum\n(“RDCF”) will promote the sharing of business information, discussion on\nmatters of common\u002F collective interest and discussion on matters which affect\nthe Self Employed Plus Couriers and the company in the respective Divisional\nareas of the company.\u003C\u002Fp>\n\n\u003Cp>2.The company agrees that Self Employed Plus Couriers should have a voice to\nraise issues of concern, and that this should take place on a non-exclusive\nbasis via their GMB representatives and their Divisional managers meeting\nfrequently to discuss and resolve matters. The RDCF aims to settle matters\nraised at the lowest level in these procedures.\u003C\u002Fp>\n\n\u003Cp>3.In circumstances where the RDCF meetings believe that an issue discussed\nhas wider implications for Hermes, and its Divisions, in this instance it would\nbe appropriate for both parties to then escalate the matter to the JNCF\u003C\u002Fp>\n\n\u003Ch3 id=\"L455\">Composition\u003C\u002Fh3>\n\n\u003Cp>4.The RDCF shall consist of a maximum number of the following members to be\nappointed as follows;\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Company members-2 plus 1\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Divisional manager\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Member of the Field Team\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Union Members-2\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">Regional Organiser GMB\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">1 GMB representative\u003C\u002Fp>\n\n\u003Cp>Please Note: In some circumstances because of the cross over of GMB Regional\nrepresentative’s boundaries and Hermes Divisional Managers boundaries, it may\nbe worth holding Joint Regional\u002FDivisional meetings. The relevant GMB\nrepresentative(s) and Hermes Divisional Manager(s) will agree this between\nthemselves.\u003C\u002Fp>\n\n\u003Ch3 id=\"L473\">Representation - RDCF Meetings\u003C\u002Fh3>\n\n\u003Cp>5.A meeting will take place every month, except during the November and\nDecember months, which will be (diarised annually. (10 meetings per annum)\u003C\u002Fp>\n\n\u003Cp>In attendance will be the Hermes Divisional Manager, relevant Hermes\nRegional Manager(s) as determined appropriate by the relevant Hermes Divisional\nManager and the GMB representative and GMB regional organiser. A Hennes\nAssistant Head of Couriers may also attend any meeting and the relevant\nDivisional Manager will give prior notice of such attendance to the appropriate\nGMB representative.\u003C\u002Fp>\n\n\u003Ch3 id=\"L479\">Notice and Agendas\u003C\u002Fh3>\n\n\u003Cp>6.Notice shall be given to all members of every meeting of the RDCF. Notice\nshall be accompanied by a standard Agenda setting out business to be discussed\nat the meeting.\u003C\u002Fp>\n\n\u003Ch3 id=\"L483\">Agenda\u003C\u002Fh3>\n\n\u003Cp>7.There will be a set agenda. Items for discussion will include matters\narising from Negotiations and Consultation at the JNNF\u002F JNCF and how they apply\nto their areas of the UK, National and local business performance matters,\nHealth &amp; Safety &amp; Welfare issues, and matters that have been reviewed\nand decided upon at the Service Provider Complaints Panel. The agenda shall not\nbe limited to these items but no meeting will involve the raising of individual\nSE+ Courier complaints that have not been escalated up to the Service Provider\nComplaints Panel.\u003C\u002Fp>\n\n\u003Ch3 id=\"L487\">Minutes\u003C\u002Fh3>\n\n\u003Cp>8.Minutes in draft form will be produced by the management team, setting out\nthe brief discussions and heading, agreements and actions that took place at\nthe meeting, within a reasonable period of time after the meeting taking place.\nSuch minutes will be numbered. This will be pre planned\nwith the Hermes Divisional Manager concerned for that areas of the UK.\u003C\u002Fp>\n\n\u003Cp>12.GMB representatives will also be informed as a matter of urgency where a\nthreat to members Health &amp; Safety has taken place.\u003C\u002Fp>\n\n\u003Cp>13.GMB representatives can be called upon to assist Self Employed Plus\nCouriers who are members of the GMB to make written representations to the\nHermes Service Provider Complaints Panel.\u003C\u002Fp>\n\n\u003Cp>14.Regional Representatives shall be allowed reasonable time to undertake\ncorrespondence duties, on their work commitments. If a situation arises where a\nRegional Representative is taking more than a day per month on correspondence\nduties the matter shall be referred to the JNCF for discussion, investigation\nand, as appropriate, as solution.\u003C\u002Fp>\n\n\u003Ch3 id=\"L511\">Elections and Representation\u003C\u002Fh3>\n\n\u003Cp>16.The parties agree that GMB representatives are elected in accordance with\nthe GMB’s rules, and to carry out the duties described by the GMB’s rules,\nand can represent the members, in accordance with the terms of this Procedure\nAgreement 1 and the Supplemental Agreement referred to in paragraph 2 of\nProcedure Agreement 1.\u003C\u002Fp>\n\n\u003Cp>17.Hermes will provide facilities where requested, to enable GMB\nrepresentatives to be elected by the members.\u003C\u002Fp>\n\n\u003Cp>18.Elected representatives will be confirmed in office for a period of 3\nyears from the date of the election, in accordance with GMB procedures.\u003C\u002Fp>\n\n\u003Cp>19.The National Officer will notify the company in writing of the name of\nelected representatives at the earliest opportunity after their election.\u003C\u002Fp>\n\n\u003Ch3 id=\"L521\">Protection\u003C\u002Fh3>\n\n\u003Cp>20.The company agree that GMB representatives will be protected from any\ndetriment as a result of their trade union activities and duties.\u003C\u002Fp>\n\n\u003Ch3 id=\"L525\">Purpose\u003C\u002Fh3>\n\n\u003Cp>21.Z No changes can be made through negotiation at local level to the\nnational pay model and other national agreements, including other payments,\nwhich have not been first agreed at the JNNF.\u003C\u002Fp>\n\n\u003Ch3 id=\"L529\">Dispute Resolution\u003C\u002Fh3>\n\n\u003Cp>22.In the event that differences are not settled between Divisional Managers\nand Representatives, the procedure set out below shall apply where such\ndifferences are collective in nature:\u003C\u002Fp>\n\n\u003Cp>Following a recorded failure to agree on a specific matter (“FTA”) at\nthe Divisional Level, either side may refer the FTA within seven days to the\nHermes Head of Courier and the GMB Regional Officer for consideration,\ndiscussion and agreement.\u003C\u002Fp>\n\n\u003Cp>When a FTA has been referred at the Divisional Level for resolution the\nstatus quo shall apply until the dispute has been resolved.\u003C\u002Fp>\n\n\u003Cp>In the event that the Hermes Head of Courier and the GMB Regional Officer\nfails to reach agreement to resolve the FTA with 14 days, the matter shall be\nreferred to the Hermes Director of Delivery Experience and the GMB National\nOfficer for consideration, discussion and agreement. Minutes of the meetings\nbetween the relevant Representative and Divisional Manager and between the\nHermes Head of Courier and the GMB Regional Officer shall be provided together\nwith any other relevant documentation ahead of the meeting between the Hermes\nDirector of Delivery Experience and the GMB National Officer.\u003C\u002Fp>\n\n\u003Cp>If an acceptable resolution cannot be reached between the Hermes Director of\nDelivery Experience and the GMB National Officer the FTA will be referred\nwithin seven days to all individual members that make up the JNCF. The status\nquo shall continue to apply.\u003C\u002Fp>\n\n\u003Cp>Minutes of the meetings held up to this point regarding the FTA together\nwill all relevant documents will be made available to all members of the JNCF\nahead of the next arriving JNCF.\u003C\u002Fp>\n\n\u003Ch2 id=\"L543\">ANNEX D TO PROCEDURE AGREEMENT 1\u003C\u002Fh2>\n\n\u003Ch3 id=\"L545\">Time off for trade union duties and activities\u003C\u002Fh3>\n\n\u003Ch3 id=\"L547\">Preamble\u003C\u002Fh3>\n\n\u003Cp>Any representative who is a member of the GMB is to be permitted reasonable\ntime off in order to:\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">(i)Carry out Trade Union duties specified in this\nAgreement.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">(ii)Take part in Trade Union activities specified\nin this Agreement.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">(iii)Undergo training relevant to Trade Union\nduties.\u003C\u002Fp>\n\n\u003Cp>2.Time off will be afforded to representatives in accordance with the\nprovisions listed below and the notes\u003C\u002Fp>\n\n\u003Cp>for guidance set out in the appendix to this Agreement.\u003C\u002Fp>\n\n\u003Ch3 id=\"L561\">Time off for trade union duties\u003C\u002Fh3>\n\n\u003Ch3 id=\"L563\">Joint National Negotiating Forum Reps\u003C\u002Fh3>\n\n\u003Cp>3.The Chair and the Vice Chair of the trade union representatives appointed\nto serve on the JNNF and JNCF will be permitted the amount of days per month\nset out in this Agreement to undertake and carry out Trade Union duties\nconnected with their remit under this Agreement (being Procedure Agreement 1\nand its Annexes).\u003C\u002Fp>\n\n\u003Cp>4.Other trade union representatives of the JNNF and JNCF will be allowed\nreasonable time off to enable them to undertake and carry out their Trade Union\nduties connected with their remit under this Agreement (being Procedure\nAgreement 1 and its Annexes. In the interests of safety and welfare of the\ntrade union representative, he\u002Fshe will not be expected to carry out services\nas a Self Employed Plus Courier in the event that a JNNF is extended to carry\nout further negotiations. As such Hermes will ensure that those representatives\nso affected will be supported as needed in finding cover for the_J services\nthat they would otherwise have provided.\u003C\u002Fp>\n\n\u003Cp>5.Other paid release will be allowed for GMB representatives as detailed in\nthis Annex D.\u003C\u002Fp>\n\n\u003Cp>Trade Union Members Elected to GMB Regional Committees and\u002F or the National\nCentral Executive Council and other important policy bodies of the GMB.\u003C\u002Fp>\n\n\u003Cp>6.Central Executive Committee members of the GMB who are representatives\nwill also have a right to time off to carry out their elected Trade Union\nduties. If such a situation arises, the appropriate Director and the National\nOfficer GMB will reach an agreement on the procedure for ensuring the required\nrelease will be carried out.\u003C\u002Fp>\n\n\u003Cp>7.Where possible, a mutually convenient time should be agreed which\nminimizes the effect on the services that the relevant representative provides\nto Hermes.\u003C\u002Fp>\n\n\u003Cp>8.All JNNF\u002FJNCF representatives are allowed release from carrying out their\nservices with average pay (as defined in accordance with paragraph 21 of this\nAnnex D) to attend the GMB National Organising meetings, which will take place\nprior to each JNNF\u002FJNCF, provided the National Officer gives annual notice and\nthese are placed in the annual diary by the appropriate Director including\ndate, time and locations of these meetings.\u003C\u002Fp>\n\n\u003Cp>9.Agreed selective GMB representatives, are allowed release with average pay\n(as defined in accordance with paragraph 21 of this Annex D), to attend the GMB\nannual conference for representatives for two days. Provided that the National\nOfficer gives reasonable notice to the Director of Delivery Experience, the\ndates and locations of the conference.\u003C\u002Fp>\n\n\u003Cp>10.All GMB representatives will be allowed one day per month, release with\naverage pay (as defined in accordance with paragraph 21 of this Annex D) to\nallow them to inform and consult with members prior to and following JNCF\nmeetings, and explain the role of the GMB to new GMB members and time off for\npreparing for the relevant RDCF. These dates must be notified in advance to\ntheir Divisional Manager.\u003C\u002Fp>\n\n\u003Cp>11.Other agreed times and when payment is made for time off for Trade Union\nduties in accordance with the notes for guidance (see paragraph 18).\u003C\u002Fp>\n\n\u003Cp>12.In making requests for time off, Hermes should be provided with as much\nnotice as reasonably possible, together with details of the purpose for such\ntime off.\u003C\u002Fp>\n\n\u003Cp>13.The amount and frequency of time off should be reasonable in all the\ncircumstances.\u003C\u002Fp>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-healthandsafetytraining\">\u003Cdiv class=\"cbaClause highlight\" id=\"clause-TRAINING_trigger\">\u003Ch3 id=\"L593\">Training for Union representatives\u003C\u002Fh3>\u003C\u002Fdiv>\n\n\u003Cp>14.The company agrees on the need to allow suitable training and time off\n(from the provision of services)with pay (to be calculated in accordance with\nparagraph 21 of this Annex) for union representatives to enable them to achieve\nthe skills required to carry out their duties. In their first year as a GMB\nRepresentative, SE+ Couriers can have up to 10 days paid time off from the\nprovision of services for the purpose of training, such training to be taken in\nseparate period of 2 or 3 consecutive days. In their years following their\nfirst year as a GMB Representative, SE+ Couriers can have no more than 3-5 days\nper annum paid time off their provision of services for the purpose of\ntraining.\u003C\u002Fp>\n\n\u003Cp>The training will be on the following matters:\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•How to work in partnership with Hermes\nemployees; Field Managers, Regional Managers and Divisional Managers in\nparticular;\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Good relations;\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Bargaining skills; and\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•Health &amp; Safety - in particular as it\napplies in the context of a self-employed operation.\u003C\u002Fp>\u003C\u002Fdiv>\n\n\u003Cp>15.Management should normally be given at least twenty eight days' notice of\nnominations for training courses in writing, and verification from either the\nGMB Regional Organiser, or GMB Education Officer.\u003C\u002Fp>\n\n\u003Cp>16.The GMB agrees to avoid representative training during the peak periods\nin the months of November and December each year.\u003C\u002Fp>\n\n\u003Cp>17.Representatives will receive payment as per paragraph 21 of this Annex D,\nfor time spent on training.\u003C\u002Fp>\n\n\u003Ch2 id=\"L615\">Notes for Guidance\u003C\u002Fh2>\n\n\u003Ch3 id=\"L617\">Introduction\u003C\u002Fh3>\n\n\u003Cp>18.These notes for guidance amplify the provisions of this Annex D.\u003C\u002Fp>\n\n\u003Ch3 id=\"L621\">Trade Union Duties\u003C\u002Fh3>\n\n\u003Cp>19.Examples where time off with average pay (as defined in accordance with\nparagraph 21 of this Annex D) should be granted for Self Employed Plus Courier\nwho are GMB trade union representatives carrying out  trade union duties, as\ndefined under this Agreement (being Procedure Agreement 1 and Annexes) as\nfollows:\u003C\u002Fp>\n\n\u003Cp>Each GMB representative will use reasonable endeavours to find cover for\ntheir services whilst they are performing trade union duties or attending\ntraining. Hermes will be responsible lor finding cover for such services in the\nevent any GMB representative is unable to source cover.   border-top:none;padding:0cm .5pt 0cm .5pt;height:1.0pt\">\n      \u003C\u002Ftd>\n    \u003C\u002Ftr>\n  \u003C\u002Ftbody>\n\u003C\u002Ftable>\n\u003C\u002Fdiv>\n\n\u003Ch3 id=\"L663\">\u003Cspan lang=\"EN-US\">\u003C\u002Fspan>Meeting Arrangements\u003C\u002Fh3>\n\n\u003Cp>20.Facilities for attending meetings in connection with Trade Union duties\nare as follows:\u003C\u002Fp>\n\n\u003Cp>GMB representatives required to attend meetings shall be allowed an adequate\npaid time fortravel to such meetings, and recovery before resuming the\nprovision of services to Hermes.\u003C\u002Fp>\n\n\u003Ch3 id=\"L669\">Payment Arrangements\u003C\u002Fh3>\n\n\u003Cp>21.The following method of payment shall be applied in connection with time\noff for Trade Union duties during courier services:\u003C\u002Fp>\n\n\u003Cp>Representatives will be paid the following,\u003C\u002Fp>\n\n\u003Cp>Where any loss of work time is involved for any JNNF\u002F JNCF attending\nmeetings, or appropriate training course the GMB representative will be paid\naverage earnings, which for these purposes, ’average earnings’ is\ndetermined as average daily earnings of the relevant GMB representative as a\nSelf Employed Plus Courier excluding expenses and ad hoc payments and bonuses\nover each day of theT2 week periods preceding the day(s) taken off to attend\nmeetings or training.\u003C\u002Fp>\n\n\u003Cp>When representatives duties are undertaken reasonable travel expenses and\nmeal expenses accompanied by a receipt will be reimbursed in accordance with\nthe company expenses policy. \u003C\u002Fp>\n\n\u003Ch3 id=\"L679\">Union Facilities\u003C\u002Fh3>\n\n\u003Cp>22.Facilities will be made available by Hermes for the Union to communicate\nwith and organise its members. These will include:\u003C\u002Fp>\n\n\u003Cp>Facilities for distributing union communications and publications.\u003C\u002Fp>\n\n\u003Cp>Secure conference call facilities and a communications page on the 'Couriers\nOnline’ forum operated by Hermes.\u003C\u002Fp>\n\n\u003Ch2 id=\"L691\">ANNEX E TO PROCEDURE AGREEMENT 1\u003C\u002Fh2>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-healthandsafetypolicy\">\u003Ch3 id=\"L693\">Health and Safety &amp; Welfare at WorK\u003C\u002Fh3>\u003C\u002Fdiv>\n\n\u003Ch3 id=\"L695\">General Principles\u003C\u002Fh3>\n\n\u003Cp>1.This Agreement sets out the procedure for dealing with matters related to\nthe health and safety of\u003C\u002Fp>\n\n\u003Cp>Self Employed Plus Couriers when they are providing services to Hermes.\u003C\u002Fp>\n\n\u003Ch3 id=\"L701\">Scope\u003C\u002Fh3>\n\n\u003Cp>2.Self Employed Plus Couriers within the scope of Procedure Agreement 1\n(General Collective Agreement) shall be within the scope of this Annex E.\u003C\u002Fp>\n\n\u003Ch3 id=\"L705\">Principles\u003C\u002Fh3>\n\n\u003Cp>3.Hermes and GMB recognise the paramount importance of health and safety.\nImprovements in health and safety performance can only be achieved if there is\nfull commitment from all interested parties. Self Employed Plus Couriers who\nare GMB representatives and Hermes Divisional Managers have vital roles to play\nin developing this commitment at all levels.\u003C\u002Fp>\n\n\u003Cp>4.Self Employed Plus Couriers shall be positively encouraged to bring to the\nattention of Field Managers and GMB representatives any problems or concerns\nrelating to health and safety; they should do this as soon as they become aware\nof a problem. To achieve maximum involvement in safety, especially at local\nlevel, Hermes will instruct Field Managers will discuss safety matters with all\nindividuals providing parcel delivery and collection services to Hermes.\u003C\u002Fp>\n\n\u003Cp>5.Health and safety matters must be resolved at the lowest level. Every\neffort will be taken to ensure that matters raised at the local level are dealt\nwith there. Only those matters that cannot be settled at local level should be\nreferred higher to National level. The National level will be the JNCF.\u003C\u002Fp>\n\n\u003Ch3 id=\"L713\">Purpose\u003C\u002Fh3>\n\n\u003Cp>6.The purpose of this Annex E is:\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•To ensure that there are sound arrangements in\nplace to discuss and resolve such matters that concern the health and safety of\nSelf Employed Plus Couriers when they are providing services to Hermes.\u003C\u002Fp>\n\n\u003Cp style=\"margin-left:2em;\">•To encourage the GMB representatives and Self\nEmployed Plus Couriers in the continuing improvement of health and safety.\u003C\u002Fp>\n\n\u003Ch3 id=\"L721\">Representatives\u003C\u002Fh3>\n\n\u003Cp>7.GMB representatives will liaise with the Hermes Divisional Manager(s) that\nis responsible for the area in which there is a Health and Safety matter to be\ndiscussed.\u003C\u002Fp>\n\n\u003Ch3 id=\"L725\">Inspections\u003C\u002Fh3>\n\n\u003Cp>8.1 In the event of a GMB representative identifying a safety problem in an\narea other than that for which he\u002Fshe is appointed, he\u002Fshe will raise the\nmatter with the GMB representative who is responsible for the area and will\nalso raise the matter with the Hermes Divisional Manager they have most contact\nwith. That Divisional Manager will then take the matter forward with his\ncolleague who is the Divisional Manager who is responsible for that area.\u003C\u002Fp>\n\n\u003Cp>9.Where Self Employed Plus Couriers engaged in providing services are\ninvolved in an accident, or dangerous occurrence, GMB representatives for the\ncouriers concerned may carry out inspections with their counterpart Divisional\nManagers).\u003C\u002Fp>\n\n\u003Ch3 id=\"L735\">Information\u003C\u002Fh3>\n\n\u003Cp>10.GMB representatives will be provided with information on possible health\nhazards, or recommended safety measures for Self Employed Plus Courier when\nperforming services.\u003C\u002Fp>\n\n\u003Ch3 id=\"L739\">Time Off facilities\u003C\u002Fh3>\n\n\u003Cp>11.Representatives will be given time off from courier services with average\nearnings in accordance\u003C\u002Fp>\n\n\u003Cp>Annex D of Procedure Agreement 1 and to discharge their functions and to\nattend such courses on health and safety at work, related to their\nfunctions.\u003C\u002Fp>\n\n\u003Ch3 id=\"L745\">Meetings\u003C\u002Fh3>\n\n\u003Cp>12.Meetings between Divisional managers and representatives will take place\neach month pursuant to Annex C of Procedure Agreement 1.\u003C\u002Fp>\n\n\u003Cp>13.Emergency meetings shall be held upon request to discuss matters\nconsidered by the representative(s) concerned to constitute a serious hazard to\nhealth and safety at work.\u003C\u002Fp>\n\n\u003Cp>14.Hermes will provide notes and actions from all meetings with\nrepresentatives. Copies of such minutes will be forwarded to the GMB\nrepresentatives concerned within the prescribed timescales, and method, as set\nout in Annex C of Procedure Agreement 1.\u003C\u002Fp>\n\n\u003Ch3 id=\"L753\">Reports\u003C\u002Fh3>\n\n\u003Cp>15?) Representatives shall report matters upon which corrective action is\nrequired.\u003C\u002Fp>\n\n\u003Cp>16.J In the event of an urgent safety problem not being resolved locally,\nthe National Officer of the Trade Union may bring it to the attention of the\nDirector of Delivery Experience and the Director of Legal of Hermes. The GMB will\nobtain the consent of the sub-depot controller to enter his\u002Fher premises for\nthis purpose and will not in any way disturb operations at any sub depot.\u003C\u002Fp>\n\n\u003Cp>4.GMB will also hold recruitment days eight times a year. These will be\nnotified to Hermes yearly, so that Regional Manageis arid GMB Regional\nOrganisers can agree times and locations to meet with existing couriers and\npotential new members without any disruption to Hermes’ operations and the\noperations of Lifestyle Couriers or Self Employed Plus Couriers.
