Each a \"Party\" and together referred to as the\n\"Parties\".\u003C\u002Fp>\n\n\u003Ch3>1.PREAMBLE\u003C\u002Fh3>\n\n\u003Cp>1.1The companies of the ESPRIT group design clothing, shoes, accessories and\nlifestyle products, manufacture these themselves or have them manufactured by\nthird parties, and market these products worldwide under the ESPRIT brands. The\ncompanies of the ESPRIT group are linked by a special image resulting from the\nESPRIT brands and by a distinctive corporate culture. Esprit has a presence in\na large number of countries with directly managed retail stores and wholesale\npoints of sale, including franchise stores and sales spaces in department\nstores, which share the company's quality standards and brand essence, with\ninspiring collections for women, men and kids.\u003C\u002Fp>\n\n\u003Cp>1.2Esprit is committed to respecting, protecting and championing the human\nrights of workers engaged in the worldwide production of textiles, footwear and\napparel. Esprit accepts responsibility to uphold the rights of workers and\nsupport transparency of the supply chain.\u003C\u002Fp>\n\n\u003Cp>1.3This Agreement recognises the crucial role that freedom of association\nand collective bargaining play in developing well-functioning industrial\nrelations. Accordingly, it is appropriate to establish a framework for\nengagement with trade union organisations, which represent the workers within\nthe textile, footwear and apparel supply chain.\u003C\u002Fp>\n\n\u003Cp>1.4IndustriALL Global Union represents 50 million workers in 140 countries\nworldwide through more than 600 affiliated trade unions including those\norganising workers in the textile, garment, footwear and leather industries. It\nis committed to defending the rights and interests of workers at the global,\nregional and sub-regional levels including through promoting international\nlabour standards in global supply chains.\u003C\u002Fp>\n\n\u003Cp>1.5Through this Global Framework Agreement (hereinafter \"Agreement\"), Esprit\nand IndustriALL Global Union (hereinafter \"the Parties\") wish to formalise the\ncollaboration that has developed over the recent years and to enter into a\nstrategic partnership. The Parties to this Agreement understand that its\nprimary purpose is to promote strong local governance of industrial relations\nat the point of production in the Esprit supply chain. They further acknowledge\nthat strong local governance can only be achieved when workers in the supply\nchain have the right to freely associate and bargain collectively and that this\nis the only sustainable method by which fundamental workers' rights and decent\nwork can be achieved and maintained.\u003C\u002Fp>\n\n\u003Ch3>2.Conventions and Standards\u003C\u002Fh3>\n\n\u003Cp>2.1 Both Esprit and IndustriALL Global Union shall recognise and undertake\nto collaborate to ensure the application of International Labour Organisation\nStandards (hereinafter \"ILO\") including the 1998 ILO Declaration on Fundamental\nPrinciples and Rights at Work, ILO Conventions and recommendations and other\ninternationally recognised standards and conventions as laid out in Annex 1.\u003C\u002Fp>\n\n\u003Cp>1.1The Parties mutually agree, as stated in the Esprit Supplier Code of\nConduct, attached in Annex 2 hereto, that the conventions and standards\nmentioned in Annex 1 as well as relevant jurisprudence of the ILO shall solely\napply vis-a-vis national laws in case these laws are less favourable to\nemployees.\u003C\u002Fp>\n\n\u003Ch3>3.Scope\u003C\u002Fh3>\n\n\u003Cp>3.1This Agreement covers workers employed by Suppliers contracted by Esprit\nto provide Esprit with products in its own label textile, footwear and apparel\nmanufacturing supply chain.\u003C\u002Fp>\n\n\u003Cp>3.2The purpose of this Agreement is to establish a mutual relationship,\nwhich can facilitate freedom of association and collective bargaining as the\npreferred sustainable mechanism for implementing fundamental employment rights\nand resolving labour disputes in Supplier factories in the Esprit supply chain.\nEsprit's products are manufactured by third party suppliers and factories\n(\"Suppliers\").\u003C\u002Fp>\n\n\u003Cp>3.3Under the terms of this Agreement, Esprit recognises its obligations to\nworkers for the conditions under which Esprit's products are manufactured and\nthat these obligations extend to all workers producing products for Esprit,\nwhether or not they are employees of Esprit. In order to meet these\nobligations, the signatories will observe and require their contractors,\nsubcontractors, and principal Suppliers to observe the internationally\nrecognised standards as set down in Annex 1 and 2 of this Agreement.\u003C\u002Fp>\n\n\u003Cp>3.4This framework Agreement is intended to facilitate the negotiation of\ndetailed collective Agreements between local trade unions and all Suppliers to\nEsprit at national or other levels. It should serve as an important basis for\ndeveloping a mature system of industrial relations within each company and\nthroughout each company's supply chain.\u003C\u002Fp>\n\n\u003Cp>3.5The terms of this Agreement shall apply equally to those workplaces\nwithin the scope of this Agreement where organisations that are not affiliated\nto IndustriALL Global Union represent the workforce. IndustriALL Global Union\nand Esprit shall undertake to inform these organisations of the terms of this\nAgreement.\u003C\u002Fp>\n\n\u003Cp>3.6This Agreement applies to Suppliers of the Esprit and edc brands, which\nEsprit owns. Esprit licensed products, which are designed and manufactured\nunder Esprit's name but sold through independent sales channels, shall not be\npart of this agreement initially, but will be brought into the scope of the\nagreement at a later date as conditions allow.\u003C\u002Fp>\n\n\u003Ch3>4.Implementation \u002F Structure and Organization\u003C\u002Fh3>\n\n\u003Cp>4.1The Parties to this Agreement acknowledge the central importance of\nfreedom of association and collective bargaining as formulated in ILO\nconventions 87, 98, 135 and Recommendation 143 as essential to developing\nsustainable compliance in factories supplying Esprit. Freedom of association\nand collective bargaining provide workers with the tools to monitor and enforce\ntheir rights at work, and as such serve as a foundation upon which to build and\nensure respect for other labour rights.\u003C\u002Fp>\n\n\u003Cp>4.2The Parties to this Agreement thus acknowledge that in the case of\nfreedom of association, the task involves not only the creation of an\nenvironment in which workers and management understand workers' rights and how\nto exercise them, but also implement a set of policies and procedures to\nprotect those rights and avoid abuse.\u003C\u002Fp>\n\n\u003Cp>4.3In conjunction with IndustriALL Esprit commits to:\u003C\u002Fp>\n\n\u003Cp>4.3.1Developing mechanisms involving IndustriALL Global Union affiliates and\nEsprit staff at country level to drive implementation of the agreement;\u003C\u002Fp>\n\n\u003Cp>4.3.2Developing a strategy to develop an enabling environment for freedom of\nassociation and collective bargaining;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\n\n\u003Cp>4.3.3Designing and implementing grievance mechanisms to ensure workers'\naccess to remedy;\u003C\u002Fp>\n\n\u003Cp>4.3.4Implementing a training programme for workers and factory managers, as\nwell as Suppliers, to create an enabling environment for freedom of association\nand to build sustainable internal dialogue in factories;\u003C\u002Fp>\n\n\u003Cp>4.3.5Jointly develop a methodology to periodically assess the impact of\npurchasing practices at the worker level of the supply chain;\u003C\u002Fp>\n\n\u003Cp>4.3.6Esprit shall act as enabler of freedom of association through the\nrequirement of its Suppliers to adopt a positive, open and collaborative\napproach towards the activities of trade unions;\u003C\u002Fp>\n\n\u003Cp>4.3.7To facilitate the implementation of this Agreement Esprit shall\ndisclose on a twice yearly basis the locations of its Suppliers on its web\npublic site to which IndustriALL has free access;\u003C\u002Fp>\n\n\u003Cp>4.3.8Esprit commits to transparency of its sources both publicly and to\nIndustriALL Global Union;\u003C\u002Fp>\n\n\u003Cp>4.3.9Esprit commits to disclosing any wholly owned subsidiary brands which\nare covered by the scope of this Agreement.\u003C\u002Fp>\n\n\u003Cp>4.4IndustriALL Global Union and its affiliates shall use this information\nsolely to promote the terms of this Agreement and the development of social\ndialogue with those Suppliers in the Esprit manufacturing supply chain.\u003C\u002Fp>\n\n\u003Cp>4.5Esprit shall secure the translation of the Agreement into all relevant\nlanguages mutually agreed with IndustriALL Global Union.\u003C\u002Fp>\n\n\u003Cp>4.6Where no apparent mechanism for industrial relations is in place within\nparts of the supply chain, Esprit shall undertake to apprise the management and\nthe employees of the terms of this Agreement. This could take the form of joint\nbriefings and\u002For training (the providers and contents of which shall be\ndetermined by the Parties to this Agreement).\u003C\u002Fp>\n\n\u003Cp>4.7Esprit shall use its best efforts to grant IndustriALL Global Union and\nthe local, national and regional trade unions affiliated thereto, physical\naccess to Suppliers and factories within the Esprit supply chain. Access shall\nbe provided based upon the mechanisms that both the management of IndustriALL\nGlobal Union and Esprit deem necessary. IndustriALL Global Union recognizes and\nagrees that any union access to the premises of an Esprit Supplier is\nconditional on the prior consent of the Esprit Supplier. Consequently, the\nParties agree that in the event IndustriALL Global Union or its affiliated\nunions want to meet with workers at the premises of an Esprit Supplier,\nIndustriALL Global Union or its affiliated unions shall ask Esprit to obtain\nthe requisite consent from the Supplier.\u003C\u002Fp>\n\n\u003Cp>4.8In situations where it is not clear whether a particular practice\nconstitutes a violation of the Agreement, relevant international labour\nstandards of the ILO shall be used as reference points. When such situations\nare determined to exist, Esprit agrees to inform and consult IndustriALL Global\nUnion.\u003C\u002Fp>\n\n\u003Cp>4.9IndustriALL Global Union commits to supporting Esprit in resolving\ndisputes and related problems in its supply chain where such matters are\ndirectly related to freedom of association. Such support shall include, inter\nalia, providing advice, contacts, mediation support, and appropriate advocacy\nfor joint positions within the ILO or other fora.\u003C\u002Fp>\n\n\u003Cp>4.10IndustriALL Global Union shall support Esprit in developing a training\nprogram on effective modern industrial relations, which Esprit will deliver to\nits Suppliers as part of the effort to communicate this Agreement throughout\nthe Esprit supply chain.\u003C\u002Fp>\n\n\u003Ch3>5.Information and Access\u003C\u002Fh3>\n\n\u003Cp>Roles and Responsibilities of The Parties:\u003C\u002Fp>\n\n\u003Cp>5.1The Parties to this Agreement shall establish and maintain procedures to\ncommunicate data and other information regularly regarding performance against\nthe requirements of this Agreement, including, but not limited to, the results\nof management reviews and monitoring activities.\u003C\u002Fp>\n\n\u003Cp>5.2 A joint group shall meet twice a year, either in person or via\nteleconference as the Parties deem and agree to be appropriate, to review the\nimplementation of this Agreement and any related issues. The members of this\njoint group shall consist of representatives of Esprit, IndustriALL Global\nUnion including the Director of Textile, Garment, Leather and Shoe sector and\nas and when necessary, representatives from the relevant regions of IndustriALL\nGlobal Union and Esprit. This group shall, amongst other things:\u003C\u002Fp>\n\n\u003Cp>5.2.1Promote industrial relations best practice within the Esprit supply\nchain;\u003C\u002Fp>\n\n\u003Cp>5.2.2Establish reporting mechanisms for violations of the terms of the\nAgreement as outlined in Annex 1 and 2;\u003C\u002Fp>\n\n\u003Cp>5.2.3Define and refine methods for intervening and resolving disputes in the\nsector;\u003C\u002Fp>\n\n\u003Cp>5.2.4Undertake research into specific issues;\u003C\u002Fp>\n\n\u003Cp>5.2.5Oversee the development of Supplier policies on freedom of\nassociation;\u003C\u002Fp>\n\n\u003Cp>\u003C\u002Fp>\u003Cdiv class=\"cbaClause highlight\" id=\"clause-trainingprogrammes\">5.2.6Oversee the development of training programmes;\u003C\u002Fdiv>\u003Cp>\u003C\u002Fp>\n\n\u003Cp>5.2.7Define a country specific implementation process for this Agreement.\u003C\u002Fp>\n\n\u003Cp>5.3Both Parties commit to contacting each other directly and immediately in\ncases where conflicts or violations of the Agreement arise, in order to seek a\ncommon solution.\u003C\u002Fp>\n\n\u003Cp>5.4IndustriALL Global Union undertakes to provide all of its relevant\naffiliates with details of this Agreement, to inform Esprit of the identities\nof the affiliates with whom it can expect to work, and to encourage its\nimplementation throughout the Esprit supply chain, in conjunction with its\naffiliates and regional organisations;\u003C\u002Fp>\n\n\u003Cp>5.5IndustriALL Global Union shall conduct an annual impact assessment of the\nAgreement, and will establish procedures to ensure it brings benefits to the\nworkers concerned, improves communications, helps avoid and resolve conflicts\nand promotes social dialogue.\u003C\u002Fp>\n\n\u003Cp>5.6The full potential of this Agreement relies on knowledge of its contents\nat Esprit, and with Suppliers and workers. The communication and training of\nthe terms and meaning of this Agreement amongst these Parties is a joint\nresponsibility of Esprit and IndustriALL Global Union.\u003C\u002Fp>\n\n\u003Cp>5.7Both IndustriALL Global Union and Esprit shall undertake to promote the\ndevelopment of policy and training programmes on freedom of association.\u003C\u002Fp>\n\n\u003Cp>5.8Esprit shall cover the costs for the program implementation and meetings\nassociated with this Agreement in line with an annual budget to be developed\njointly with IndustriALL Global Union.\u003C\u002Fp>\n\n\u003Ch3>6.Registration and term of the Agreement\u003C\u002Fh3>\n\n\u003Cdiv class=\"cbaClause highlight\" id=\"clause-cbadate_end_date\">\u003Cdiv class=\"cbaClause highlight\" id=\"clause-cbadate_end\">\u003Cp>6.1This Agreement comes into force from the date of this Agreement and will\nbe reviewed within 2 years of the date of this Agreement. Both Parties\nundertake actively to support its implementation, and declare their readiness\nto co-operate in preventing and remedying any contravention. Should either\nParty feel the need to terminate the agreement prior to the 2-year review, it\nmust do so in writing with three months' notice.\u003C\u002Fp>\u003C\u002Fdiv>\u003C\u002Fdiv>\n\n\u003Cp>6.2Questions concerning the interpretation of this Agreement shall be\nresolved through consultation between the signatories. Every effort will be\nmade to find common agreement but where this is not possible the Parties to\nthis Agreement shall in appropriate instances seek the expert advice of the ILO\nor other mutually agreed upon neutral party. The Parties shall mutually agree\nto abide by the final recommendations of the ILO or mutually agreed upon\nparty.\u003C\u002Fp>\n\n\u003Ch3>7.Final Provisions\u003C\u002Fh3>\n\n\u003Cp>7.1Amendments and supplements to this agreement may only be made upon the\nparties' mutual consent and in writing.\u003C\u002Fp>\n\n\u003Cp>7.2Should any clause in this agreement be or become invalid or\nunenforceable, such invalidity or unenforceability shall not affect the\nvalidity and enforceability of this agreement as such. Any invalid or\nunenforceable provision shall be replaced by such legally valid and enforceable\nprovision which comes as close as possible to the original intentions of the\nparties.\u003C\u002Fp>\n\n\u003Cp>7.3This global framework agreement (GFA) is governed in line with relevant\nlegislation in Germany.
